AEROPORTO GUGLIELMO MARCONI DI BOLOGNA S.p.A.:

The Ordinary Shareholders' Meeting appointed an Alternate Auditor, thus completing the Supervisory Body.

Bologna, October 27, 2025 – The Ordinary Shareholders' Meeting of Aeroporto Guglielmo Marconi di Bologna S.p.A., meeting today under the chairmanship of Enrico Postacchini, considered the need to supplement the Board of Statutory Auditors by appointing an Alternate Auditor, resolved to appoint Dr. Andrea Collalti as Alternate Auditor, who will serve until the expiration of the current Board of Statutory Auditors' term and, therefore, until the Shareholders' Meeting convened to approve the 2027 financial statements.

The Shareholders' Meeting passed the resolutions within its jurisdiction pursuant to Article 24.5 of the Bylaws, with the legal majorities, without applying the list voting system, without prejudice to compliance with the principles of gender balance and minority representation required by applicable law, including regulations.

It is therefore recalled that the current composition of the Board of Statutory Auditors is as follows:

• Chairman: Dr. Andrea Alessandri;
• Regular Auditors: Dr. Annalisa Ghelfi and Dr. Olivo Vittorio Calselli;
• Alternate Auditors: Dr. Federica Nannucci and Dr. Andrea Collalti.
