or the "Bonds")

ADJUSTMENT OF CONVERSION PRICE

Nordic Trustee AS ("NT") acts as Bond Trustee for the above mentioned bonds (the "Bonds"), issued by Proximar Seafood AS (the "Issuer"). The terms and conditions of the Bonds are set out in a bond terms between the Issuer and NT (on behalf of the bondholders) dated 21 October 2022 (the "Bond Terms").

Reference is made to a series of notices by the Issuer on Newsweb.no, whereby it has informed of a rights offering.

As a consequence of the rights offering, the conversion price of the Bonds was adjusted according to the Bond Terms Clause 13.1, from NOK 3.8475 to NOK 2.6593.

The new conversion price was effective from 1 October 2025.
