TERMINATION OF THE APPOINTMENT OF GROUP CHIEF FINANCIAL OFFICER AND MANAGER RESPONSIBLE FOR PREPARING THE COMPANY'S FINANCIAL REPORTS AND DOCUMENTS EFFECTIVE DECEMBER 1st, 2025

Reggio Emilia, 16 October 2025 – Cellularline S.p.A. (hereinafter "Cellularline" or the "Company"), a European leader in the smartphone and tablet accessories sector, listed on the Euronext STAR Milan market organized and managed by Borsa Italiana S.p.A., announces that Board member Mauro Borgogno has expressed his intention to step down, effective from December 1st , 2025, from his roles as Group Chief Financial Officer and Manager Responsible for preparing the Company's financial reports, for personal reasons and as part of a reduction in his professional commitments.

Until that date, Mr. Borgogno will continue to serve in his current roles to ensure operational continuity and a smooth transition.

Based on the information available to the Company, Mr. Borgogno hold 12,283 ordinary shares of Cellularline.

The Company will inform the market, in accordance with legal requirements, of the decisions taken regarding the appointment of the new Manager Responsible for preparing the Company's financial reports.

The Company thanks Mr. Borgogno for his dedication and professional contribution over the years in his roles as Group Chief Financial Officer and Manager Responsible for preparing the Company's financial reports.

It should be noted that Mr. Borgogno will retain his position as a director of the Company beyond December 1 st, 2025.
