Trento, 15 October 2025
Following previous announcements and most recently on 4 July 2025, Gpi S.p.A., a leading company in software and services supporting the digital transformation of healthcare, listed on the Euronext Milan Tech Leaders market, announces that today the merger deeds for the incorporation into Gpi S.p.A. of the wholly owned subsidiaries Oslo Italia S.r.l. and BIM Italia S.r.l. were executed.
Pursuant to Article 2504-bis of the Italian Civil Code, the legal effects of the mergers of Oslo Italia S.r.l. and Bim Italia S.r.l. will commence from 1 December 2025 and 1 January 2026 respectively.
The accounting and tax effects, however, will be applied retroactively from the first day of the financial year in which the legal effects of the aforementioned mergers occur.
The aforementioned deeds will be filed with the competent Companies Register of the companies involved in the mergers and made available to the public at the Company's registered office, on the Company's website at www.gpigroup.com/en/investors/investors-documents/ – Merger Operations section, as well as on the authorised storage mechanism (), in accordance with the terms and procedures provided for by the applicable legislation.
