Execution of a Memorandum of Cooperation concerning mining projects in Albania

The Board of Directors of Coal Energy S.A. (the "Company") hereby announces that on October 14, 2025, the Company executed a Memorandum of Cooperation (MoC) with ALRO Sunrise shpk and Trade Mineral Al shpk, entities registered in Tirana, Republic of Albania.

The purpose of the Memorandum is to establish the framework for cooperation in the following areas:

  • analysis of the geological, economic, and environmental data of the Kurbnesh anthropogenic deposit (copper–gold–cobalt, license PN 9733 12 2019) and the Gjegjan deposit (copper, licenses PN 7972 09 2014 and PN 3765 09 2016 ) located in the Republic of Albania;
  • assessment of the possibility of acquiring mining rights by Coal Energy S.A. or its subsidiaries;
  • joint development of mining projects involving industrial and critical metals, including antimony, selenium, tellurium, and rare-earth elements;
  • conducting additional geological exploration aimed at confirming the deposits' resources in strategic raw materials.

In accordance with the provisions of the Memorandum, Coal Energy S.A. will gain access to the complete geological, environmental, and technical documentation of both deposits and will perform, at its own expense, an analysis of the investment potential of the projects.

The execution of the Memorandum is consistent with the Issuer's strategy of diversifying its operations towards the extraction of critical and industrial metals, which play a key role in the energy transition, electromobility, and high-tech industries.

The deposits covered by the cooperation show potential occurrences of elements such as antimony, selenium, tellurium, and rare-earth elements.

Any future decisions regarding the acquisition of assets or commencement of mining operations will be subject to separate agreements and current reports.
