AVVERAMENTO DELLA CONDIZIONE RELATIVA ALL'AUTORIZZAZIONE ANTITRUST

Milano, 13 ottobre 2025 – Con riferimento all'offerta pubblica di acquisto volontaria totalitaria sulle azioni ordinarie di Banca Sistema S.p.A. (l'"Operazione"), promossa da Banca CF+ S.p.A. ("Banca CF+" o l'"Offerente"), l'Offerente comunica quanto segue.

In data odierna, la Commissione Europea ha notificato a Banca CF+ l'autorizzazione antitrust all'implementazione dell'Operazione senza imposizione di condizioni o rimedi.

Si ricorda che l'ottenimento dell'autorizzazione sopra richiamata costituisce una delle autorizzazioni necessarie per il perfezionamento dell'Operazione.

FULFILLMENT OF THE CONDITION RELATING TO THE ANTITRUST AUTHORIZATION

Milan, October 13th, 2025 – With reference to the voluntary public tender offer on all ordinary shares of Banca Sistema S.p.A. (the "Transaction") promoted by Banca CF+ S.p.A. ("CF+" or the "Offeror"), the Offeror hereby announces the following.

As of today, the European Commission has notified Banca CF+ with the antitrust authorization to implement the Transaction without imposing any conditions or remedies.

Please note that obtaining the abovementioned authorization constitutes one of the approvals required for the completion of the Transaction.
