IMPORTANT EVENT TO REPORT: CONCLUSION OF COMMERCIAL CONTRACT FOR CONSTRUCTION AND DELIVERY OF THE RIVER SHIP

ŞANTIERUL NAVAL ORȘOVA S.A., in accordance with the provisions of art.234 para. (1) let. (i) of ASF Regulation no. 5/2018, informs shareholders and all interested parties that the company has concluded an external contract for the construction of a river vessel, in connection with which the following details are made:

• Nature of the concluded act: commercial contract with intra-community delivery;
• Date of conclusion: 10.10.2025;
• Buyer: Information protected under the confidentiality clause;
• Object of the contract: commercial contract for the construction and delivery of a river vessel;
• Total value of the contract: 4,280,000 EURO;
• Delivery terms: August 2026;
• Payment terms and conditions: advance payment of the contract value, based on a bank letter of guarantee for the refund of the advance, and the remaining payment after the ship's arrival at the delivery location.
