Eurotech: Assemblea Ordinaria e Straordinaria del 15 ottobre 2025

Amaro (Udine), 3 ottobre 2025 – Eurotech S.p.A., facendo seguito alla pubblicazione in data 15 settembre u.s., con le modalità di legge, dell'avviso di convocazione dell'Assemblea Ordinaria e Straordinaria per il 15 ottobre p.v., nonché delle relazioni illustrative del Consiglio di Amministrazione su tutti gli argomenti all'ordine del giorno di tale Assemblea, ricorda che, come indicato nella relativa relazione illustrativa, la proposta di deliberazione di cui all'unico argomento all'ordine del giorno della parte straordinaria, concernente la modifica dell'art. 5 dello statuto sociale di Eurotech, legittimerà, se approvata, l'esercizio del diritto di recesso da parte degli Azionisti che non abbiano concorso all'adozione di tale deliberazione, con applicazione degli artt. 2437-bis, 2437-ter e 2437-quater del codice civile.

Al riguardo –e rinviando alla predetta relazione illustrativa per ogni informazione in merito all'esercizio del diritto di recesso, nonché alla condizione a cui è soggetta l'efficacia della delibera assembleare in questione –, si ricorda altresì che il valore di liquidazione di ciascuna delle azioni ordinarie della Società in relazione alle quali dovesse essere esercitato il diritto di recesso è stato determinato dal Consiglio di Amministrazione, ai sensi dell'articolo 2437-ter del codice civile, nell'importo di Euro 0,847.

Eurotech: Ordinary and Extraordinary Shareholders' Meeting of October 15, 2025

Amaro (Italy), 3 October 2025 – Following the publication on September 15, in accordance with the law, of the notice convening the Ordinary and Extraordinary Shareholders' Meeting for October 15, 2025, as well as the illustrative reports of the Board of Directors on all the items on the agenda, Eurotech S.p.A. reminds that, as indicated in the relevant illustrative report, the proposed resolution under the sole item on the Extraordinary agenda, concerning the amendment of Article 5 of the Company's by-laws, will, if approved, legitimize the exercise of the withdrawal right by Shareholders who did not vote in favour of this resolution, in accordance with Articles 2437-bis, 2437-ter, and 2437-quater of the Italian Civil Code.

In this regard – and referring to the aforementioned illustrative report for any information regarding the exercise of the withdrawal right, as well as the condition to the effectiveness of such Shareholders' resolution – it is also reminded that the liquidation value of each of the Company's ordinary shares with respect to which the withdrawal right may be exercised has been determined by the Board of Directors, in accordance with Article 2437-ter of the Italian Civil Code, in the amount of EUR 0.847.
