• DIFFERIMENTO DEL TERMINE DI APPROVAZIONE DELLA RELAZIONE FINANZIARIA SEMESTRALE AL 30 GIUGNO 2025
• NOMINA DI UN NUOVO COMPONENTE DELL'ORGANISMO DI VIGILANZA EX D.LGS. 231/2001

Torino (TO), 3 ottobre – OSAI Automation System S.p.A. SB (Ticker OSA), società attiva nella progettazione e produzione di macchine e linee complete per l'automazione e il testing su semiconduttori, facendo seguito ai comunicati pubblicati il 17 aprile 2025 e il 25 settembre 2025, comunica che, il Consiglio di Amministrazione, riunitosi in data odierna, in considerazione (i) delle interlocuzioni in essere con il ceto creditorio nell'ambito della procedura di composizione negoziata della crisi avviata dalla Società il 25 gennaio 2025 (la "CNC"); (ii) delle incertezze sulle tempistiche relative alla conclusione degli accordi con il predetto ceto creditorio sempre nell'ambito della CNC; nonché (iii) del differimento dell'approvazione del bilancio di esercizio al 31 dicembre 2024 (comunicato dalla Società il 5 giugno 2025), ha ritenuto necessario differire l'approvazione della Relazione Finanziaria Semestrale della Società e del Gruppo Osai al 30 giugno 2025 ad un momento in cui sia ragionevolmente più certa la soluzione della crisi.

Alla luce di tutto quanto precede, la Società comunica che, non appena possibile, procederà a fornire al mercato indicazioni sulle date della riunione consiliare per l'approvazione del progetto di bilancio di esercizio al 31 dicembre 2024 , dell'Assemblea ordinaria degli azionisti per l'approvazione del bilancio di esercizio al 31 dicembre 2024 nonché della riunione consiliare per l'approvazione della relazione finanziaria semestrale al 30 giugno 2025.

La Società provvederà a informare tempestivamente il mercato in caso di eventuali ed ulteriori informazioni su quanto sopra esposto.

Inoltre, si segnala che, sempre in data odierna, il Consiglio di Amministrazione, stante le dimissioni rassegnate il 30 giugno 2025 da Domenico Laterza dalla carica di componente dell'Organismo di Vigilanza della Società (l'"OdV"), ha nominato in sua sostituzione, con effetto dalla data odierna, quale nuovo Componente dell'OdV, il Dott. Gianni Draghi.

L'Organismo di Vigilanza, che rimarrà in carica fino all'approvazione del bilancio di esercizio al 31 dicembre 2025, è ora così composto:

• Giulio Tedeschi (Presidente);
• Andrea Cammarota;
• Gianni Draghi.

• POSTPONEMENT OF THE DEADLINE FOR APPROVAL OF THE HALF-YEAR FINANCIAL REPORT TO 30 JUNE 2025

• APPOINTMENT OF A NEW MEMBER OF THE SUPERVISORY BODY PURSUANT TO LEGISLATIVE DECREE NO. 231/2001

Turin, October 3rd, 2025 –Osai Automation System S.p.A. Società Benefit (Ticker: OSA), a company that operates in the field of design and production of machines and complete lines for automation and testing on semiconductors, further to the press releases published on 17 April 2025 and 25 September 2025, announces that the Board of Directors, met today, in consideration of (i) the discussions in place with the creditors as part of the negotiated settlement procedure of the crisis launched by the Company on 25 January 2025 (the "CNC"); (ii) the uncertainties regarding the timing relating to the conclusion of the agreements with the aforementioned creditors, again within the CNC; as well as (iii) the postponement of the approval of the financial statements for the year ended December 31, 2024 (communicated by the Company on June 5, 2025), deemed it necessary to postpone the approval of the Half-Year Financial Report of the Company and the Osai Group as of June 30, 2025 to a time when the resolution of the crisis is reasonably more certain.

In view of these considerations, the Company announces that, as soon as possible, it will provide the market with information on the dates of the Board meeting for the approval of the draft financial statements for the year ended December 31, 2024, the Ordinary Shareholders' Meeting for the approval of the financial statements for the year ended December 31, 2024 and the Board meeting for the approval of the half-year financial report for the year ended June 30, 2025. The Company will promptly inform the market in the event of any further information on the above.

In addition, it should be noted that, also today, the Board of Directors, given the resignation of Domenico Laterza from the position of member of the Company's Supervisory Body (the "SB") on 30 June 2025, has appointed Gianni Draghi as a new member of the SB to replace him, with effect from today's date.

The Supervisory Body, which will remain in office until the approval of the financial statements for the year ended 31 December 2025, is now composed as follows:

• Andrea Cammarota;
• Gianni Draghi.
