Major shareholder announcement

On 2 December 2024, the Kingdom of Denmark, via the Ministry of Finance (the "Ministry of Finance"), announced that the Ministry of Finance had entered into a conditional share purchase agreement with Arbejdsmarkedets Tillægspension ("ATP") regarding the acquisition of a controlling shareholding in Københavns Lufthavne A/S ("Københavns Lufthavne"). Further to this, the Ministry of Finance hereby announces that today the Ministry of Finance has acquired in aggregate 4,657,549 shares with a nominal value of DKK 100 in Københavns Lufthavne from Copenhagen Airports Denmark ApS, corresponding to approximately 59.35% of the shares and voting rights in Københavns Lufthavne (the "Acquisition"). Copenhagen Airports Denmark ApS is indirectly 100% owned and controlled by ATP.

As a result of the Acquisition and pursuant to Section 38 of Consolidated Act no. 652 of 10 June 2025 on Capital Markets, as amended, and Section 55 of Consolidated Act no. 331 of 20 March 2025 on Public and Private Limited Companies, as amended, it is hereby disclosed that, as of today, the Ministry of Finance holds 7,734,549 shares in Københavns Lufthavne, corresponding to 98.55% of Københavns Lufthavne's total issued share capital and total voting rights, and thus holds more than the 90% threshold of total issued share capital and total voting rights in Københavns Lufthavne.

Prior to the Acquisition, the Ministry of Finance held 3,007,000 shares in Københavns Lufthavne, corresponding to 39.2% of the total issued share capital and total voting rights in Københavns Lufthavne.

All of the Ministry of Finance's shares in Københavns Lufthavne are registered in a securities account maintained with Danmarks Nationalbank in the name of the Ministry of Finance, Statsgældsforvaltningen, DN – Regnskabsafdelingen, Havnegade 5, 1093 Copenhagen K. The Danish Financial Supervisory Authority has been notified of the above concurrently with the submission of this letter.
