CHANGE IN THE SHARE CAPITAL OF MFE-MEDIAFOREUROPE N.V.
MFE-MEDIAFOREUROPE N.V. ("MFE") communicates the increased amount of its share capital, subscribed and paid-up, as a result of the share capital increase, charged against the distributable reserves, for which pre-emption rights have been excluded, resolved upon by the Board of Directors of MFE and communicated to the market on 24 September 2025, in execution of the authorisation granted by the MFE Shareholders' General Meeting held on 18 June 2025, to serve the MFE Medium-Long Term Incentive and Loyalty Plan in force for the years 2021/2023 (the "Plan").
In particular, on the date hereof, 1,130,939 new MFE A ordinary shares (with ISIN NL0015001OI1) have been issued and admitted to trading, with a per-share nominal value of Euro 0.06 each, regular entitlement and current coupon number 3 (the "Issue"), to be granted to the beneficiaries of the Plan in accordance with the provisions of the Plan regulation. As a result, MFE's share capital was increased from Euro 169,873,307.40 to Euro 169,941,163.74.
The following table compares the data relating to the issued share capital, the shares issued, and the related voting rights before and after the Issue, it being understood that, according to MFE's articles of association, each MFE A Share grants No. 1 voting right, while each ordinary MFE B share of the Company (with ISIN NL0015001OJ9) (collectively, the "B Shares") grants No. 10 voting rights.

VARIAZIONE DEL CAPITALE SOCIALE DI MFE-MEDIAFOREUROPE N.V.
MFE-MEDIAFOREUROPE N.V. ("MFE") comunica la nuova composizione del proprio capitale sociale, sottoscritto e versato, risultante dall'aumento di capitale sociale, a titolo gratuito, a carico delle riserve disponibili, con esclusione del diritto di opzione, deliberato dal consiglio di amministrazione di MFE e comunicato al mercato in data 24 settembre 2025, in esecuzione dell'autorizzazione conferita dall'assemblea ordinaria degli azionisti di MFE del 18 giugno 2025, a servizio del piano di incentivazione e fidelizzazione a medio-lungo termine per il periodo 2021-2023 di MFE (il "Piano").
In particolare, in data odierna, sono state emesse e ammesse a negoziazione n. 1.130.939 nuove azioni ordinarie MFE A (con codice ISIN NL0015001OI1), col valore nominale unitario di Euro 0,06, godimento regolare e cedola numero 3 (l'"Emissione) da assegnarsi ai beneficiari del Piano in conformità alle previsioni del regolamento del Piano. Conseguentemente, il capitale sociale di MFE è stato aumentato da Euro 169.873.307,40 a Euro 169.941.163,74.
La seguente tabella raffronta i dati relativi al capitale sociale emesso, alle azioni emesse ed ai relativi diritti di voto prima e dopo l'Emissione, rammentandosi che, secondo lo statuto sociale di MFE, ciascuna azione MFE A attribuisce un diritto di voto mentre ciascuna azione ordinaria MFE B della Società (con codice ISIN NL0015001OJ9) (tutte, le "Azioni B") 10 diritti di voto.
