RINVIO DELL'APPROVAZIONE DELLA RELAZIONE FINANZIARIA SEMESTRALE AL 30 GIUGNO 2025

Torino (TO), 25 settembre 2025 – OSAI Automation System S.p.A. SB (Ticker OSA), società attiva nella progettazione e produzione di macchine e linee complete per l'automazione e il testing su semiconduttori, facendo seguito ai comunicati pubblicati il 17 aprile 2025 e il 5 giugno 2025, rende noto che la riunione consiliare per l'approvazione della Relazione Finanziaria Semestrale della Società e del Gruppo Osai al 30 giugno 2025 (la "Relazione Semestrale") subirà un rinvio rispetto alla data prevista del 25 settembre 2025. Tale rinvio è motivato dallo stato delle interlocuzioni con i principali creditori della Società, condotte nell'ambito del percorso di composizione negoziata per la soluzione della crisi d'impresa avviata dalla Società di cui al comunicato del 25 gennaio 2025.

Il Consiglio di amministrazione si riunirà il 3 ottobre 2025 per deliberare sulla Relazione Semestrale.

La Società provvederà a comunicare tempestivamente al mercato eventuali variazioni alle date sopra indicate nonché su eventuali ed ulteriori informazioni rispetto a quanto sopra esposto.

POSTPONEMENT OF THE APPROVAL OF THE HALF-YEAR FINANCIAL REPORT AS OF 30 JUNE 2025

Turin, September 25th, 2025 –Osai Automation System S.p.A. Benefit Company (Ticker: OSA), a company that operates in the field of design and production of machines and complete lines for automation and testing on semiconductors, further to the press releases published on April 17th, 2025 and June 5th, 2025, announces that the Board meeting for the approval of the Half-Year Financial Report of the Company and the Osai Group as at 30 June 2025 (the "Half-Year Report") will be postponed from the scheduled date of 25 September 2025. This postponement is motivated by the state of discussions with the Company's main creditors, conducted as part of the negotiated settlement process for the solution of the business crisis initiated by the Company referred to in the press release of January 25th, 2025.

The Board of Directors will meet on October 3rd, 2025 to resolve on the Half-Year Report.

The Company will promptly notify the market of any changes to the dates indicated above as well as any further information with respect to the above.
