Statement
Milan – Generali informs to have executed an amendment to the MoU with BPCE to acknowledge the completion of their respective employee representative bodies' consultation procedures and continue, until 31 December 2025, the negotiations concerning the transaction and the related transaction documents.
Generali and BPCE also acknowledged that the provisions concerning the break-up fee, equal to € 50 million, should no longer apply and should no longer have any force or effect.
The execution of any final agreement concerning the transaction will be in any case subject to the prior approval of the competent corporate bodies of each party.
