PERFEZIONATA IN DATA ODIERNA L'OPERAZIONE MOHD

Facendo seguito ai comunicati stampa diffusi in data 10 e 11 luglio 2025, Dexelance S.p.A. (DEX.MI), gruppo industriale diversificato, tra i leader italiani nel design, luce e arredamento di alta gamma ("Dexelance"), rende noto che in data odierna è stata perfezionata l'acquisizione di una partecipazione pari al 65,0% del capitale sociale di Mollura & C. S.p.A. ("Mohd").

Il controvalore dell'operazione è stato di Euro 44,3 milioni, interamente finanziati da Dexelance mediante ricorso ad indebitamento bancario.

Si ricorda inoltre che l'accordo prevede reciproche azioni di acquisto e vendita connesse al restante 35,0% del capitale sociale di Mohd, che resterà inizialmente detenuto dalla famiglia Mollura. In particolare: 1) un'opzione put a favore della famiglia Mollura per una partecipazione pari al 10,0% del capitale, esercitabile tra il sesto e il dodicesimo mese successivo alla data odierna ed alla stessa valutazione - pro quota; 2) delle reciproche opzioni di put e call, il cui prezzo d'esercizio sarà determinato sulla base dei risultati conseguiti da Mohd negli esercizi 2028 e 2029.

La famiglia Mollura, in linea con il consolidato modus operandi di Dexelance, resterà alla guida di Mohd in completa continuità di gestione.

MOHD TRANSACTION FINALIZED TODAY

Following the press releases issued on 10 and 11 July 2025, Dexelance S.p.A. (DEX.MI), a diversified industrial group and one of Italy's leading players in high-end design, lighting and furniture ("Dexelance"), announces that today it has completed the acquisition of a 65.0% stake in the share capital of Mollura & C. S.p.A. ("Mohd").

The consideration of the transaction amounted to Euro 44.3 million, entirely financed by Dexelance through bank debt.

It should be further noted that the agreement provides for reciprocal buy and sell options related to the remaining 35.0% of Mohd's share capital, which will initially remain held by the Mollura family. Specifically: 1) a put option in favor of the Mollura family for a 10.0% stake in the share capital, exercisable between the sixth and twelfth month following the current date and at the same pro-rata valuation; 2) reciprocal put and call options, the exercise price of which will be determined on the basis of Mohd's results in the 2028 and 2029 financial years.

In line with Dexelance's established modus operandi, the Mollura family will remain at the helm of Mohd, ensuring complete continuity in its management.
