THE INTERNATIONALIZATION OF THE SIMONE PUBLISHING GROUP BEGINS

TWO PRELIMINARY AGREEMENTS SIGNED FOR THE ACQUISITION OF A MAJORITY STAKE IN ÉDITIONS MÉMO

Milan, 23 September 2025 – Simone S.p.A. ("Simone" or the "Company"), a company operating in the publishing sector listed on Euronext Growth Milan, announces the acquisition of a majority stake in the prestigious French publishing house Éditions Mémo, an independent publishing company based in Nantes, internationally renowned for the quality and innovation of its children's publications.

The French company achieved a turnover of approximately EUR 730,000 in the last year and a normalized EBITDA that was essentially break-even, but with prospects for growth thanks to synergies within the group.

Specifically, Simone has signed a preliminary agreement with the two individual shareholders, Christine Morault and Yves Mestrallet, and another preliminary agreement with Harmonia Mundi Livre S.A. for the purchase of approximately 29.40% and 25.04% of the share capital of Éditions Mémo, respectively.

As part of the transaction, it is also provided that (i) Simone will subscribe to a capital increase of Éditions Mémo, enabling it to hold 67.9% of the share capital; and (ii) a put & call agreement will be signed at closing, which provides, on the one hand, for Simone's right to purchase, within 48 months of closing, the remaining stake held by Christine Morault and Yves Mestrallet in the share capital of Éditions Mémo and, on the other hand, the right of Christine Morault and Yves Mestrallet to sell to Simone, within 36 months of closing, their stake in the share capital of Éditions Mémo. The closing of the transaction is expected by the end of October.

With this transaction, which is not significant under the Issuer Regulations, including in terms of the transaction value, Simone Publishing Group consolidates its growth and internationalization strategy in the children's and young adult publishing sector, strengthening its presence in a culturally significant publishing market such as France. The entry into Éditions Mémo also represents an important step in the diversification of the catalog and the valorization of publishing dedicated to younger readers.

This extraordinary financial transaction represents a first concrete step for Simone in its internationalization process, which began with the acquisition in mid-2025 of Topipittori S.r.l., an Italian publishing house specializing in illustrated books for children and young adults that is already present in several foreign markets. This brings the number of brands active in children's publishing to three: in addition to the already mentioned Éditions Mémo and Topipittori S.r.l., there is Gatto

Verde Edizioni S.r.l., a brand created in 2023 within the Group, which in just two years has received important national recognition.

The editorial management of Éditions Mémo will continue to operate independently, maintaining its own identity, while benefiting from the strategic, organizational, and distributional support of the Simone Group.
