Subject: Notice on acquisition of own shares

Pursuant with the Article 474 of the Capital Market Act, we hereby inform you as the Issuer of the aforementioned security listed on the Official Market of the Zagreb Stock Exchange, that based on the Share Buy-Back Programme adopted on December 5th, 2024, at the Management Board meeting, with the prior consent of the Supervisory Board of Span d.d. ("Company"), an investment company Interkapital vrijednosni papiri d.o.o, has in the name and on behalf of the Company, made the following purchases of shares of the Company (own shares), on the regulated market of the Zagreb Stock Exchange (ZSE):

• On September 19th, 2025, 1,000 SPAN shares were purchased at an average weighted price of EUR 59.20 per share, which represents 0.0510 % of the Company's share capital.
• On September 22nd, 2025, 100 SPAN shares were purchased at an average weighted price of EUR 59.40 per share, which represents 0.0051 % of the Company's share capital
• Prior to the said acquisitions, the Company owned 4,260 of own shares, representing 0.2173 % of the share capital. After the said acquisitions and as at the date of this Notice, the Company owns a total of 5,360 of own shares, representing 0.2735% of the share capital. The share capital of the Company is EUR 3,920,000.00 and is divided into 1,960,000 shares with the nominal value of EUR 2.00, ticker symbol SPAN-R-A and ISIN symbol HRSPANRA0007.

The Share Buy-Back Programme is carried out with the aim of disposition of the Shares within the framework of the Company's ESOP programme, rewarding members of the Management Board, employees of the Company and affiliated companies, potential acquisitions of companies, as well as for all other purposes that are foreseen and permitted as such by the applicable legislation of the Republic of Croatia, and in accordance with the decision of the General Assembly of the Company from June 13th, 2022.
