Re-organisation of Del Rio family's legal entities

Inchcape plc ("Inchcape" or the "Company"), the leading global automotive distributor, announces that it has been advised by the Group's largest shareholder, the Del Rio family, that the family, including Juan Pablo Del Rio, Non-Executive Director of the Company, is conducting a re-organisation of its legal entities.

This re-organisation is an administrative exercise, has no impact on the economic interests of the Del Rio family in Inchcape and the family remains supportive long term Inchcape shareholders.

Once the re-organisation completes, which is expected to take place on 23 September 2025, the family's shares in Inchcape will be held by different legal entities owned and controlled by the family. The relevant notifications shall be made to the market upon completion.

As at 8 September 2025, the Del Rio family owns 38,583,102 Inchcape shares, equating to 10.4% of the Group's share capital.
