B2 Impact ASA: Disclosure of Large Shareholding

Reference is made to the announcements on 14 May 2025 regarding the conditional agreement by Nevedal Invest AS ("Nevedal Invest") to acquire 52,913,000 shares in B2 Impact ASA (the "Company") (the "Transaction") and on 28 August 2025 regarding regulatory approval from the Financial Supervisory Authority of Norway.

Nevedal Invest has today completed the acquisition of 32,913,000 shares in the Company, constituting the first tranche of the Transaction. Following completion of the first tranche, Nevedal Invest holds 69,740,738 shares in the Company, representing approximately 18.86% of the total shares and votes.

Nevedal Invest has as part of the Transaction furthermore agreed to acquire an additional 20,000,000 shares in the Company. Following completion of this second tranche, Nevedal Invest will hold 89,740,738 shares in the Company, representing approximately 24.27% of the total shares and votes.

Nevedal Invest is a company owned by Gulen Invest AS and SOF II B2I UK, a legal entity ultimately controlled by Searchlight Opportunities Fund II GP, L.P.
