Appointment of New Director

Bank of Cyprus Holdings Public Limited Company (the 'BOC Holdings'), and Bank of Cyprus Public Company Limited (the 'Bank') announce that on 28 August 2025 the European Central Bank approved the appointment of Mr. Andreas Kritiotis as an independent non-executive member of the Board of Directors of the Bank. The appointment is also effective for the Board of Directors of BOC Holdings.
Dr. Kritiotis has extensive experience as a non-executive director in the banking sector, as well as having several leadership roles across multiple other sectors which includes the insurance sector. He was a member of the board of Alpha Bank (Cyprus) Ltd from 2010 to 2019 and subsequently served as Chairman of the board of Ancoria Bank Ltd from 2019 to 2023. He also held the positions of Chief Executive Officer and Executive Director at Universal Life Insurance Public Co. Ltd from 2012 to 2018 and was a member of the Board of Governors at the Cyprus International Institute of Management. Most recently, Dr. Kritiotis served as Chairman of the board at Payabl. CY Ltd, a payments institution in Cyprus.
Dr. Kritiotis was the General Manager of EuroLife Ltd from 1996 to 2007 and currently serves as Vice President for Operations and Development at The Cyprus Institute. He also founded Cerithium Ltd, an independent consultancy firm providing strategic advice to private companies. Dr. Kritiotis has a PhD and MSc in Chemical Engineering from the Massachusetts Institute of Technology, where he completed a minor programme in Computer Science and a Bachelor of Science in Chemical Engineering from Imperial College.
