Subject: Share Purchase Agreement for 100% of the ownership stake in DALEKOVOD MK d.o.o.

KONČAR Inc. announces that on September 3, 2025, KONČAR – Metal Structures Ltd. signed a Share Purchase Agreement with Dalekovod jsc. on the purchase of 100% of the ownership stake in DALEKOVOD MK d.o.o.

Upon the completion of the transaction and restructuring within the KONČAR Group, synergistic effects will be achieved through the integration of companies, aiming to create the conditions for a sustainable and successful continuation of business by adapting and expanding the production program of KONČAR – Metal Structures Ltd.

KONČAR Inc. will continue to inform the investment public about material facts related to the completion of the transaction.
