Resolutions - addendum

Dialight plc (the Company) has published the poll results of the AGM held on Monday, 01 September 2025.  

Resolutions 11 and 12 (political donations and allotment of shares) were both comfortably passed with the requisite majority, but more than 20% of the votes cast were not in favour.

The Board notes that these two resolutions reflect generally accepted guidelines but was made aware just prior to the AGM that certain shareholders had applied their own voting policies in relation to political donations and allotment of shares. In accordance with the UK Corporate Governance Code, the Board will continue to engage with shareholders and will provide any further update within the next six months.
