# **INNKALLING TIL EKSTRAORDINÆR GENERALFORSAMLING I HUDDLY AS**

Det vil bli avholdt ekstraordinærgeneralforsamling i Huddly AS ("**Selskapet**") den 8. september 2025 kl. 10.00. Møtet vil bli holdt i lokalene til Advokatfirmaet Simonsen Vogt Wiig AS, med adresse Filipstad brygge 1, 0252, Oslo. Aksjeeiere som ikke har mulighet til å delta fysisk, vil bli gitt anledning til å følge møtet, stemme og stille spørsmål via Teams.

Påmelding til generalforsamlingen, både for fysisk oppmøte og for deltakelse via Teams, må gjøres i henhold til instruksene under:

For å ha rett til å delta og stemme på generalforsamlingen, må en være aksjeeier i Selskapet senest fem (5) virkedager før generalforsamlingen, dvs. den 1. september 2025 («**Registreringsdatoen**"). Berettigede aksjeeiere som ønsker å delta på generalforsamlingen personlig eller ved fullmektig, må melde dette i e-post ti[l genf@dnb.no](mailto:genf@dnb.no) eller per post til DNB Bank ASA Verdipapirservice, Postboks 1600 Sentrum, 0021 Oslo senest den 4. september 2025 kl. 16.00.

Invitasjon til generalforsamlingen på Teams vil bli sendt til påmeldte aksjeeiere via e-post senest dagen før generalforsamlingen.

Fullmakter som kan benyttes av aksjeeiere som ikke har mulighet til å delta personlig, er vedlagt denne innkallingen som Vedlegg 2 (uten stemmeinstrukser) og Vedlegg 3 (med stemmeinstrukser). I den forbindelse oppfordrer styret aksjeeiere som ønsker å delta, til å gjøre det ved å benytte de nevnte fullmaktsskjemaene med den hensikt å begrense antall deltakere i møtet. Formålet med henstillingen er å minimere risikoen for utfordringer med å telle stemmer ved avstemningene og tilrettelegge for en ordnet og effektiv generalforsamling på Teams. Aksjeeiere oppfordres til å benytte fullmakten med stemmeinstruksjoner.

# **NOTICE OF AN EXTRAORDINARY GENERAL MEETING OF HUDDLY AS**

An extraordinary general meeting in Huddly AS (the "**Company**") will be held on 8 September 2025 at 10:00 (CEST). The meeting will be held in the offices of Advokatfirmaet Simonsen Vogt Wiig AS, at the address Filipstad brygge 1, 0252, Oslo, Norway. Shareholders not having the opportunity to participate physically will be given the possibility to follow the meeting, vote and raise questions via Teams.

Registration for the general meeting, both in the case of physical attendance and participation through Teams, must be made in accordance with the instructions below:

To be entitled to participate and vote at the general meeting, one must be shareholder in the Company no later than five (5) business days prior to the general meeting, i.e. on 1 September 2025 (the "**Record Date**"). Eligible shareholders who wish to attend the general meeting in person or by proxy must notify this via e-mail to [genf@dnb.no](mailto:genf@dnb.no) or by mail to DNB Bank ASA Registrars Department, P.O Box 1600 centrum, 0021 Oslo no later than 4 September 2025 at 16:00 (CEST).

Invitation to the general meeting on Teams will be sent to the enrolled shareholders via e-mail no later than the day before the general meeting.

Proxies for use by shareholders who do not have the opportunity to participate in person are attached to this notice as Appendix 2 (without voting instructions) and Appendix 3 (with voting instructions). In this connection, the board of directors (the "**Board**") encourages shareholders who want to participate to do this through use of said proxy forms in order to limit the number of participants in the meeting. The purpose of the request is to minimize the risk of challenges with respect to counting the votes in the decisions and to facilitate an orderly and efficient general meeting via Teams. The shareholders are encouraged to using the proxy with voting instructions.

Registration for the general meeting, both in the case of physical attendance and participation through Teams, must be made in accordance with the instructions below:

If the shareholder will be represented in the general meeting by proxy, the attorney-in-fact must notify participation via email to [genf@dnb.no](mailto:genf@dnb.no) or by mail to DNB Bank ASA Registrars Department, P.O Box 1600 centrum, 0021 Oslo no later than 4 September 2025 at 16:00 (CEST).

If shares are held through a nominee in the VPS register, cf. Section 4-4 of the Norwegian Private Limited Liability Companies Act (the "**Companies Act**"), cf. 4-10 of the Norwegian Public Limited Liability Companies Act (the "**Public Companies Act**"), this notice will in accordance with

Selskapet har på tidspunktet for denne innkallingen en aksjekapital på NOK 1 303 955,0625, fordelt på 20 863 281 aksjer, hver pålydende NOK 0,0625.

Hver aksje gir rett til én stemme. Stemmerett kan ikke utøves for en aksje som tilhører Selskapet selv eller datterselskapet.

Section 1-8 of the Public Companies Act, be sent to the nominee who shall pass on the notice to the beneficial owner. If the beneficial owner wishes to attend the general meeting, the beneficial owner must ask the nominee to notify the Company of this within two (2) business days prior to the date of the extraordinary general meeting (i.e. by 4 September 2025). It is not a requirement to have shares transferred to a securities account in the beneficial owner's own name in order to vote at the general meeting.

This notice is available on<https://www.huddly.com/> and via the Company's ticker "HDLY" on Euronext Live markets (Euronext Oslo's information system).

At the date of this notice, the Company's share capital is NOK 1,303,955.0625, divided into 20,863,281 shares, each with a nominal value of NOK 0.0625.

Each share gives the right to one vote. No voting rights may be exercised for the Company's own shares (treasury shares) or for shares held by the Company's subsidiary.

Som offentliggjort av Selskapet i en børsmelding den 22. august 2025 har Selskapet betinget plassert 5 526 544 nye aksjer i Selskapet til tegningskurs NOK 11,00 per aksje i en rettet emisjon (den "**Rettede Emisjonen**").

Den Rettede Emisjonen vil resultere i et bruttoproveny til Selskapet på ca. NOK 60,8 millioner. Selskapet har til hensikt å benytte nettoprovenyet til å dekke underskuddet frem til Selskapet forventes å bli kontantstrømpositivt i 2026. Fokuset vil være på (i) fortsatt investering i FoU for utrulling og forbedring av nye produkter, (ii) etablering av nye strategiske partnere, (iii) økt salg via kanaler ("channels") og (iv) generelle arbeidskapitalbehov for å støtte vekst.

Pareto Securities AS har bistått Selskapet med den Rettede Emisjonen ("**Tilrettelegger(en)**").

Selskapet har inngått en avtale om forhåndsbetaling av aksjeinnskudd med Tilretteleggeren som skal sikre at aksjer i den Rettede Emisjonen kan leveres på "delivery versus payment"-basis (DVP) kort tid etter at generalforsamlingen er avholdt ("**Pre-Payment Avtalen**").

Gjennomføring av den Rettede Emisjonen er betinget av (i) at den ekstraordinære generalforsamlingen («**EGF**») fatter vedtak om å godkjenne den Rettede Emisjonen og utstedelse av aksjene i den Rettede Emisjonen, (ii) at Pre-Payment Avtalen forblir gyldig og i kraft, (iii) at kapitalforhøyelsen i forbindelse med utstedelsen av de tildelte aksjene blir gyldig registrert i Foretaksregisteret og (iv) at de tildelte aksjene blir gyldig utstedt og registrert i Verdipapirsentralen (Euronext Securities Oslo eller "**VPS**") (samlet omtalt som "**Betingelsene**").

Den Rettede Emisjonen innebærer en fravikelse av eksisterende aksjeeieres fortrinnsrett til å tegne nye aksjer i Selskapet. Styret har vurdert kravene til likebehandling som følger av aksjeloven samt Euronext Growth Oslo Regelbok – del II punkt 3.1, og har konkludert med at fravikelsen er i Selskapets og aksjeeiernes felles interesse i samsvar med loven på den bakgrunn som fremgår nedenfor.

## **VEDLEGG 1**: **REDEGJØRELSE FOR SAK NR. 4 OG 5 APPENDIX 1: INFORMATION ON AGENDA MATTERS NO. 4 AND 5**

**4. Kapitalforhøyelse i forbindelse med rettet emisjon 4. Share capital increase in connection with private placement**

### **4.1. Innledning 4.1. Introduction**

As announced by the Company in a stock exchange announcement on 22 August 2025, the Company has conditionally placed 5,526,544 new shares in the Company at a subscription price of NOK 11.00 per share in a private placement (the "**Private Placement**").

The Private Placement will result in gross proceeds to the Company of approx. NOK 60.8 million. The Company intends to use the net proceeds to bridge the deficit until the Company is expected to become cash-flow positive in 2026. The focus will be on (i) continued investments in R&D for rollout and improvement of new products, (ii) onboarding of new strategic partners, (iii) expansion of channel sales, and (iv) general working capital requirements to support growth.

Pareto Securities AS has assisted the Company with the Private Placement (the "**Manager**").

The Company has entered into an agreement for pre-funding of share deposits with the Manager to ensure that shares in the Private Placement may be delivered on a delivery versus payment-basis (DVP) shortly after the general meeting has been held (the "**Pre-Payment Agreement**").

Completion of the Private Placement and issuance of the Offer Shares is subject to (i) the extraordinary general meeting (the "**EGM")** resolving to approve the capital increase pertaining to the Private Placement and the issuance the Offer Shares, (ii) the Pre-Payment Agreement remaining in full force and effect, (iii) the share capital increase pertaining to the issuance of the allocated Offer Shares being validly registered with the Norwegian Register of Business Enterprises (the "**NRBE**"), and (iv) the allocated Offer Shares being validly issued and registered in the Norwegian Central Securities Depository (Euronext Securities Oslo or the "**VPS**") (jointly referred to as the "**Conditions**").

### **4.2. Likebehandling 4.2. Equal treatment**

The Private Placement entails a deviation of existing shareholders' preferential rights to subscribe new shares in the Company. The Board has considered the requirements for equal treatment of shareholders set out in the Companies Act and Euronext Growth Oslo Rule book – Part II clause 3.1 (1), and has concluded that the deviation is in the best interests of the Company and the shareholders and lawful, on the background as described below.

Ved å strukturere transaksjonen som en rettet emisjon, var Selskapet i posisjon til å skaffe kapital på en effektiv måte i det rådende volatile kapitalmarkedet, med lavere rabatt til dagens børskurs og med en betydelig lavere fullføringsrisiko sammenlignet med en fortrinnsrettsemisjon. Selskapet har også behov for kapital for å dekke sine behov frem til det oppnår en positiv kontantstrøm, og det øker Selskapets mulighet til å sikre tilstrekkelig ny kapital at det kan henvende seg også til nye investorer. I tillegg har selskapet mottatt forhåndsforpliktelser og støtte fra større aksjonærer for å redusere transaksjonsrisikoen. Selskapet planlegger videre å gjennomføre et etterfølgende tilbud til de eksisterende aksjeeierne som ikke ble tildelt nye aksjer i den Rettede Emisjonen, i henhold til de vilkår som fremgår av punkt 5 nedenfor.

Utover det som fremgår ovenfor, og hva som ellers fremgår av børsmeldinger og kvartalsrapporter som er publisert i Selskapets navn på www.newsweb.no, har det ikke inntruffet hendelser etter siste balansedato som er av vesentlig betydning for Selskapet, jf. aksjeloven § 10-3. Selskapets årsrapport for 2024, inkludert revisjonsberetning, er tilgjengelig på Selskapets hjemmeside.

I den Rettede Emisjonen ble minimumsnivået på NOK 50 millioner garantert i henhold til garantiavtaler datert 20. august 2025 ("**Garantiavtalene**") mellom Selskapet og visse aksjonærer som garantister. I henhold til Garantiavtalene har hver garantist rett til en garantiprovisjon tilsvarende 5 % av sin garantiforpliktelse ("**Garantiprovisjonene**"), som skal gjøres opp ved utstedelse av nye aksjer gjennom motregning ("**Vederlagsaksjene**"). Den samlede verdien av Garantiprovisjonene utgjør NOK 2,5 millioner.

# **4.3. Vedtak om kapitalforhøyelse i forbindelse med rettet emisjon**

Styret foreslår at generalforsamlingen treffer følgende vedtak om å forhøye Selskapets aksjekapital i forbindelse med den Rettede Emisjonen:

- *(i) Aksjekapitalen økes med NOK 345 409 ved utstedelse av 5 526 544 nye aksjer, hver pålydende NOK 0,0625.*
- *(ii) Tegningskursen for de nye aksjene er NOK 11,00 per aksje.*
- *(iii) De nye aksjene skal tegnes av Pareto Securities AS ("Tilretteleggeren") på vegne av / etter fullmakt fra investorene som har blitt allokert*

By structuring the transaction as a private placement, the Company was in position to raise capital in an efficient manner in the prevailing volatile capital market, with a lower discount to the current trading price and with significantly lower completion risks compared to a rights issue. The Company also requires capital to bridge its needs until it is cash flow positive and it increases the Company's chances of securing sufficient new capital that it can approach also new investors. Additionally, the Company received precommitments and support from larger shareholders to reduce transaction risk. The Company is further planning to carry out a subsequent offering towards the existing shareholders who were not allocated new shares in the Private Placement, in accordance with the terms and subject to the conditions set out in Section 5 below.

Other than what is set out above and what has otherwise been disclosed in stock exchange announcements or presented in the Company's quarterly reports published under the Company's name at www.newsweb.no, there have not been any events of significant importance for the Company following the last balance sheet date, cf. the Companies Act Section 10-3. The Company's annual report for 2024, including the auditor statement, is available on the Company's website.

In the Private Placement, the minimum level of NOK 50 million was underwritten pursuant to underwriting agreements dated 20 August 2025 (the "**Underwriting Agreements**") between the Company and certain shareholders as underwriters pursuant to which each respective underwriter is entitled to an underwriting fee of 5% of the Underwriter's underwriting obligation (the "**Underwriting fees**"), to be settled by issuance of new shares by way of set-off (the "**Consideration Shares**"). The aggregate value of the Underwriting Fees amounts to NOK 2.5 million.

# **4.3. Resolution on share capital increase in connection with private placement**

The Board has proposed that the general meeting resolves the following resolution to increase the Company's share capital in connection with the Private Placement:

- *(i) The share capital is increased with NOK 345,409 by issuance of 5,526,544 new shares, each with a nominal value of NOK 0.0625*
- *(ii) The subscription price for the new shares is NOK 11.00 per share.*
- *(iii) The new shares shall be subscribed for by Pareto Securities AS (the "Manager") on behalf of / based on power of attorney from the investors*

*aksjer i den rettede emisjonen, og i henhold til Tilretteleggerens forhåndsbetaling av aksjeinnskuddet på NOK 60 791 984 til en angitt konto for emisjonsformål. De nye aksjene skal overføres etter DVP-prinsippet fra Tilretteleggeren til de investorene som har blitt allokert aksjer.*

- *(iv) Aksjeeiernes fortrinnsrett etter aksjeloven § 10- 4 fravikes, jf. aksjeloven § 10-5.*
- *(v) Aksjene skal tegnes på særskilt tegningsblankett innen 9. september 2025.*
- *(vi) Aksjeinnskuddet skal gjøres opp ved kontantbetaling så snart som mulig og innen 9. september 2025. Selskapet kan ikke benytte aksjeinnskuddet før kapitalforhøyelsen er registrert i Foretaksregisteret.*
- *(vii) Aksjene gir fulle rettigheter, herunder rett til utbytte, fra og med datoen kapitalforhøyelsen er registrert i Foretaksregisteret.*
- *(viii) Kontantdelen av kostnadene ved kapitalforhøyelsen anslås å utgjøre NOK 4,0-4,5 millioner. I tillegg har selskapet i forbindelse med kapitalforhøyelsen innhentet garantier fra enkelte av sine større aksjeeiere for tegning av nye aksjer for et samlet aksjeinnskudd på NOK 50 millioner. Som vederlag for garantiene skal selskapet betale provisjon på 5 % av garantibeløpet, dvs. totalt ca. NOK 2,5 millioner, som skal gjøres opp ved utstedelse av nye aksjer til garantistene gjennom motregning mot kravene på provisjon.*
- *(ix) Vedtektenes § 4 endres slik at de reflekterer ny aksjekapital og nytt antall aksjer etter kapitalforhøyelsen.*
- **5. Styrefullmakt til utstedelse av nye aksjer i forbindelse med en reparasjonsemisjon og oppgjør av vederlagsaksjer**

For å tilrettelegge for at eksisterende aksjeeiere som ikke ble kontaktet i "wallcrossing-fasen" i den Rettede *having been allocated shares in the private placement and in accordance with the Manager's pre-payment of the share contribution of NOK 60,791,984 to a designated bank account for share capital increase purposes. The shares shall be forwarded based on a DVP principle from the Manager to the investors who have been allocated shares.*

- *(iv) The shareholders' preferential right to subscribe for shares pursuant to section 10-4, cf. section 10-5 of the Norwegian Private Limited Liability Companies Act, is set aside.*
- *(v) The shares shall be subscribed for on a separate subscription form within 9 September 2025.*
- *(vi) The share contribution shall be settled by cash payment as soon as possible and within 9 September 2025. The Company may not use the share contribution before the share capital increase is registered with the Norwegian Register of Business Enterprises.*
- *(vii) The shares give full rights, including rights to dividends, from and including the date of registration of the share capital increase in the Norwegian Register of Business Enterprises.*
- *(viii) The cash part of the costs related to the share capital increase is estimated in the range of NOK 4.0-4.5 million. In addition, the company has connected to the capital raising obtained underwriting commitments from certain of its larger shareholders for subscription of new shares for a total share contribution of NOK 50 million. As consideration for the underwriting commitments, the company shall pay an underwriting fee equal to 5% of the underwritten amount, in total approx.. NOK 2.5 million, which is to be settled by issuing new shares to the underwriters through set-off against the claims for underwriting fee.*
- *(ix) Article 4 of the articles of association is amended to reflect the new share capital and the new number of shares after the capital increase.*
- **5. Authorization to the board on issuance of new shares in connection with the subsequent offering and settlement of consideration shares**

### **5.1. Innledning 5.1. Introduction**

To give existing shareholders who were not contacted during the wall-crossing phase of, and were not allocated shares in,

Emisjonen, og som ikke ble tildelt aksjer i den Rettede Emisjonen mv. som redegjort for under, kan få mulighet til å tegne aksjer i Selskapet til samme tegningskurs som investorene i den Rettede Emisjonen, foreslår styret at generalforsamlingen vedtar å gi styret fullmakt til å gjennomføre en reparasjonsemisjon ("**Reparasjonsemisjonen**").

Den potensielle Reparasjonsemisjonen vil innebære tilbud om tegning av inntil 1 818 181 nye aksjer til tegningskurs per aksje tilsvarende tegningskursen i den Rettede Emisjonen, NOK 11,00.

Basert på anbefalinger fra Tilretteleggeren og informasjonen som allerede er kommunisert av Selskapet til markedet, fant styret at Reparasjonsemisjonen bør rettes mot personer som:

- (i) var aksjonærer i Selskapet per 22. august 2025 (som registrert i VPS to handelsdager deretter),
- (ii) eier mindre enn 1,00 % av nåværende utestående aksjer i Selskapet (avrundet til nærmeste to desimalpunkter),
- (iii) ikke ble allokert aksjer i den Rettede Emisjonen, og
- (iv) ikke er bosatt i en jurisdiksjon hvor et slikt tilbud vil være ulovlig eller (i andre jurisdiksjoner enn Norge) krever prospekt, registrering eller lignende tiltak,

## de "**Kvalifiserte Aksjeeierne**".

Reparasjonsemisjonen er for øvrig avhengig av (i) gjennomføring av den Rettede Emisjonen, (ii) nødvendige selskapsrettslige godkjennelser inkludert at styret vedtar å utstede aksjer i Reparasjonsemisjonen og (iii) offentliggjøring av et tilbudsprospekt i form av et nasjonalt prospekt knyttet til Reparasjonsemisjonen

Av hensyn til å sikre fleksibilitet med hensyn til tidspunktet for gjennomføringen av en eventuell Reparasjonsemisjon, herunder registrering av et tilbudsprospekt, foreslår styret at styret gis fullmakt til å gjennomføre en eller flere kapitalforhøyelser. Styret har funnet at styrefullmakten, i tillegg til å omfatte utstedelse av aksjer i en eventuell Reparasjonsemisjon, også bør omfatte fullmakt til å utstede Vederlagsaksjene. Styret foreslår derfor å gi en styrefullmakt til å forhøye Selskapets aksjekapital med inntil NOK 127 840,375.

The potential Subsequent Offering will entail an offer to subscribe for up to 1,818,181 new shares at a subscription price per share equal to the subscription price in the Private Placement, NOK 11.00.

Based on recommendations provided by the Manager and the information already communicated by the Company to the market, the Board found that the Subsequent Offering should be directed towards persons who:

- (i) were shareholders in the Company as of 22 August 2025 (as registered in VPS two trading days thereafter);
- (ii) hold less than 1.00% of the current shares outstanding in the Company (rounded to the nearest two decimal points);
- (iii) were not allocated offer shares in the Private Placement; and
- (iv) are not resident in a jurisdiction where such an offering would be unlawful or would (in jurisdictions other than Norway) require any prospectus, filing, registration or similar,

# the "**Eligible Shareholders**".

The Subsequent Offering is furthermore subject to (i) completion of the Private Placement, (ii) necessary corporate approvals including the Board resolution to issue shares in the Subsequent Offering and (iii) the publication of an offering prospectus in the form of a national prospectus pertaining to the Subsequent Offering.

For the purpose of ensuring flexibility with respect to the timing for carrying out a potential Subsequent Offering, including registration of an offering prospectus, the Board proposes that the Board is granted an authorization to carry out one or more share capital increases. The Board has found that the board authorization, in addition to authorizing the issuance of shares in a Subsequent Offering, include authorization to issue the Consideration Shares. The Board therefore proposes a board authorization to increase the Company's share capital by up to NOK 127,840.375.

**5.2. Vedtak om styrefullmakt til kapitalforhøyelse i forbindelse med Reparasjonsemisjon og oppgjør av Vederlagsaksjer** 

På bakgrunn av punkt 5.1 foreslår styret at generalforsamlingen fatter følgende vedtak:

- *(i) I henhold til aksjeloven § 10-14 tildeles styret fullmakt til å forhøye Selskapets aksjekapital med inntil NOK 127 840,375 ved en eller flere kapitalforhøyelser.*
- 
- *(iii) Aksjeeiernes fortrinnsrett til de nye aksjene etter aksjeloven § 10-4 kan settes til side, jf. aksjeloven § 10-5.*
- *(iv) Fullmakten omfatter kapitalforhøyelse mot innskudd i andre eiendeler enn penger, også inkludert ved gjeldskonvertering, jf. aksjeloven § 10-2. Fullmakten omfatter ikke kapitalforhøyelser ved fusjon etter aksjeloven § 13-5.*
- *(v) Fullmakten er betinget av at Selskapets generalforsamling på eller omkring 8. september vedtar en kapitalforhøyelse med aksjeinnskudd på NOK 60 791 984.*
- *(vi) Fullmakten kommer i tillegg til fullmakt gitt i generalforsamling den 14. februar 2025.*

The Board may decide that the Subsequent Offering will not be carried out in the event that the Company's shares trade at or below the subscription price in the Subsequent Offering (i.e. the Offer Price) at sufficient volumes and over a sufficient time period.

Given the purpose of the authorization, it will include the right to waive the shareholders' preferential rights to subscribe for new shares and to resolve capital increase by contribution in kind.

# **5.2. Resolution on board authorization in connection with Subsequent Offering and settlement of Consideration Shares**

On the basis of item 5.1, the Board proposes that the general meeting passes the following resolution:

- *(i) In accordance with section 10-14 of the Companies Act, the board is granted an authorization to increase the Company's share capital with up to NOK 127,840.375 in one or several share capital increases.*
- *(ii) Fullmakten gjelder inntil 31. januar 2026. (ii) The authorization shall remain in force until 31 January 2026.*
	- *(iii) The preferential right of the shareholders to subscribe for the shares pursuant to Section 10-4, cf. Section 10- 5 of the Companies Act, may be set aside.*
	- *(iv) The authorization shall cover capital increases by contributions in kind, also including through conversion of debt, cf. Section 10-2 of the Companies Act. The authorization does not cover merger decisions according to Section 13-5 of the Companies Act.*
		- *(v) The authorization is conditional upon the Company's general meeting on or about 8 September resolving a share capital increase with a share contribution of NOK 60,791,984.*
		- *(vi) The authorization shall apply in addition to the authorization granted by the general meeting held on 14 February 2025.*
