Nature of the Event:

Material Private Placement Offer to Classified Investors

1. Details:

On August 25, 2025, the company approved a private placement of 20,000,000 ordinary shares of 1 NIS par value each of the company to classified investors at a price of 15 NIS per share of the company. The expected gross proceeds from the allocation of the shares amount to a total of 300 million NIS. The total shares to be allocated (if the private placement is completed) will constitute approximately 3.52% of the issued and paid-up share capital of the company registered for trading and of the voting rights therein, and approximately 3.41% on a fully diluted basis. Completion of the private allocation to the classified investors as mentioned above (if completed) is subject to the approval of the Tel Aviv Stock Exchange Ltd., for the listing for trading of the allocated shares, and therefore as of the date of this report, there is no certainty regarding its completion. The company will publish a report regarding the private placement in accordance with the Securities Regulations (Private Placement of Securities in a Listed Company), 2000. The company intends to approach the stock exchange to obtain the aforementioned approval shortly after the publication of the private placement report as stated. It is clarified that nothing in this report constitutes an offer to purchase or an invitation to submit offers to purchase the company's securities to the public and should not be interpreted as an offer of securities to the public.
