Prepared in accordance with Article 9 of Section Two of the Capital Markets Board's Communiqué on Principles of Financial Reporting in Capital Markets No. II-14.1

We hereby declare that the consolidated Statement of Financial Position, Statement of Comprehensive Income, Statement of Cash Flows, and Statement of Changes in Equity, together with the explanatory notes, and the interim activity report of Agrotech Yüksek Teknoloji ve Yatırım A.Ş. for the accounting period between January 1, 2025 and June 30, 2025, which have been prepared in accordance with the Turkish Accounting Standards/Turkish Financial Reporting Standards (TAS/TFRS) as set forth by the Capital Markets Board (CMB) and in compliance with the formats determined by the CMB pursuant to the Communiqué No. II-14.1 on "Principles of Financial Reporting in Capital Markets", have been reviewed by us and:

a) To the best of our knowledge, within the scope of our duties and responsibilities in the company, the financial statements and the activity report do not contain any untrue statements or any omissions that may render them misleading as of the date the disclosure is made,

b) To the best of our knowledge, within the scope of our duties and responsibilities in the company, the consolidated financial statements, prepared in accordance with applicable financial reporting standards, fairly reflect the assets, liabilities, financial position and profit or loss of the Company, and the activity report fairly reflects the development, performance and financial position of the Company, together with the significant risks and uncertainties it faces.

Agrotech Yüksek Teknoloji ve Yatırım A.Ş.'nin, 01.01.2025 - 30.06.2025 hesap dönemine ait, Sermaye Piyasası Kurulu'nun (SPK) II-14.1 sayılı "Sermaye Piyasasında Finansal Raporlamaya İlişkin Esaslar Tebliği" (Tebliğ) uyarınca Türkiye Muhasebe Standartları/Türkiye Finansal Raporlama Standartları (TMS/TFRS) ve SPK tarafından belirlenen formatlar ile uyumlu olarak hazırlanan dipnotlarıyla birlikte konsolide Finansal Durum Tablosu, Kapsamlı Gelir Tablosu, Nakit Akış Tablosu ve Özsermaye Değişim Tablosu ile ara dönem faaliyet raporunun, SPK düzenlemeleri doğrultusunda;

a)Tarafımızca incelendiğini,

b)Şirketimizdeki görev ve sorumluluk alanımızda sahip olduğumuz bilgiler çerçevesinde, finansal tablolarımızın ve faaliyet raporumuzun önemli konularda gerçeğe aykırı bir açıklama içermediğini ya da açıklamanın yapıldığı tarih itibariyle yanıltıcı olması sonucunu doğurabilecek herhangi bir eksiklik içermediğini,

c)Şirketimizdeki görev ve sorumluluk alanımızda sahip olduğumuz bilgiler çerçevesinde, yürürlükteki finansal raporlama standartlarına göre hazırlanmış konsolide finansal tablolarımızın Şirketimizin aktifleri, pasifleri, finansal durumu ve kar ve zararı ile ilgili gerçeği dürüst bir biçimde yansıttığını ve faaliyet raporumuzun işin gelişimi, performansı ve Şirketimizin finansal durumunu, karşı karşıya olduğu önemli riskler ve belirsizliklerle birlikte dürüstçe yansıttığını, beyan ederiz.
