Xplora Technologies AS: Exercise of share options by primary insider and related transactions

Primary insider, Kjetil Fennefoss holding share options under Xplora

Technologies AS' ("Xplora" or the "Company") share incentive program has today

exercised a total of 166,666 options, each equal to one share. 125,000 shares

are exercised at strike price of NOK 7.00 per share and 41,666 shares for a

strike price of NOK 14.90 per share.

The exercised options will be settled by issuance of new shares in the

Company, and the Company's board of directors has today resolved to issue

239,610 new shares, each with a nominal value of NOK 0.004, pursuant to a

board authorization to issue new shares granted by the annual general meeting

on 23 May 2025.

Following this, Kjetil Fennefoss holds 344,008 shares in the Company and

83,334 options in the Company.

Kjetil Fennefoss' 166,666 new shares will be sold in the market by DNB. The

results of the sales process will be announced in a separate stock exchange

notice.

The exercised options have been granted in accordance with the Company's share

option program described in the Company's latest annual financial statement.
