# INTEGRAZIONE DELL'AVVISO DI CONVOCAZIONE DELL'ASSEMBLEA ORDINARIA

Con riferimento all'Assemblea ordinaria di Banca Popolare di Sondrio S.p.A. convocata presso la sede legale in Sondrio, piazza Garibaldi n. 16, per le ore 10.00 di lunedì 15 settembre 2025, in unica convocazione, con avviso pubblicato in data 5 agosto 2025 sul sito internet della Società e sul meccanismo di stoccaggio autorizzato EmarketStorage, il Consiglio di amministrazione di Banca Popolare di Sondrio S.p.A. ha deliberato di integrare l'elenco delle materie all'ordine del giorno con l'aggiunta dei punti 5) e 6).

In considerazione di quanto sopra, si riporta di seguito il nuovo testo integrato dell'avviso di convocazione dell'Assemblea ordinaria del prossimo 15 settembre.

L'Assemblea della Banca Popolare di Sondrio S.p.A. (la "Banca") è convocata in sede ordinaria su richiesta di BPER Banca S.p.A. ai sensi dell'art. 2367 del codice civile presso la sede legale in Sondrio, piazza Garibaldi n. 16, per le ore 10.00 di lunedì 15 settembre 2025 in unica convocazione, per deliberare sul seguente

#### ORDINE DEL GIORNO

- 1. Revoca degli amministratori in scadenza nel 2026 e nomina dei nuovi amministratori secondo la seguente scansione deliberativa:
	- 1.1. Revoca degli amministratori che scadono in occasione

dell'approvazione del bilancio al 31 dicembre 2025 e che non abbiano già rassegnato le proprie dimissioni dalla carica entro la data dell'Assemblea, e

- 1.2. in caso di approvazione della proposta di revoca di cui al precedente punto 1.1 e/o di dimissioni, entro la data dell'Assemblea, degli amministratori che scadono in occasione dell'approvazione del bilancio al 31 dicembre 2025, nomina, sulla base delle liste che saranno depositate dagli azionisti, di cinque membri del Consiglio di amministrazione di Banca Popolare di Sondrio, in sostituzione degli amministratori cessati, con scadenza in occasione dell'approvazione del bilancio al 31 dicembre 2025;
- 2. Nomina, sulla base delle liste che saranno depositate dagli azionisti, di cinque membri del Consiglio di amministrazione di Banca Popolare di Sondrio in sostituzione degli Amministratori cessati che sarebbero scaduti in occasione dell'approvazione del bilancio al 31 dicembre 2026 (*i.e.* Pierluigi Molla, Loretta Credaro, Roberto Giay, Severine Melissa Harmine Neervoort e Giuseppe Recchi), con scadenza in occasione dell'approvazione del bilancio al 31 dicembre 2026;
- 3. Nomina, sulla base delle liste che saranno depositate dagli azionisti, di cinque membri del Consiglio di amministrazione di Banca Popolare di Sondrio in sostituzione degli Amministratori cessati che sarebbero scaduti in occasione dell'approvazione del bilancio al 31 dicembre 2027 (*i.e.* Maria Letizia Ermetes, Christian Montaudo, Salvatore Providenti, Franco Giuseppe Riva e Francesco Venosta), con scadenza in occasione dell'approvazione del bilancio al 31 dicembre 2027;
- 4. Determinazione del compenso degli amministratori;
- 5. Risoluzione consensuale degli incarichi di revisione legale dei conti di Banca Popolare di Sondrio S.p.A. assegnati a EY S.p.A. per gli esercizi 2017-2025 e a KPMG S.p.A. per gli esercizi 2026-2034 e dei

relativi incarichi per la revisione limitata della Rendicontazione di sostenibilità;

6. Conferimento dell'incarico di revisione legale dei conti di Banca Popolare di Sondrio S.p.A. per gli esercizi 2025-2033 e dell'incarico per la revisione limitata della Rendicontazione di sostenibilità per gli esercizi 2025-2027; determinazione del corrispettivo.

## Capitale sociale

Il capitale sociale, sottoscritto e versato, ammonta a € 1.360.157.331, costituito da n. 453.385.777 azioni ordinarie. Ogni azione attribuisce il diritto a un voto. La Banca detiene alla data del presente avviso n. 3.565.256 azioni proprie.

## Partecipazione all'Assemblea

Ai sensi dell'articolo 83-sexies del D.Lgs. 58/98, Testo Unico della Finanza, sono legittimati a intervenire in Assemblea, esclusivamente per il tramite del Rappresentante designato con le modalità infra precisate, i soggetti che risulteranno titolari del diritto di voto al termine della giornata contabile del settimo giorno di mercato aperto precedente la data dell'Assemblea (4 settembre 2025 - "record date"), e per i quali sia pervenuta alla Banca la relativa comunicazione effettuata dall'intermediario abilitato.

Pertanto, coloro i quali risulteranno titolari delle azioni della Banca solo successivamente a tale data non avranno diritto di intervenire e di votare in Assemblea.

La comunicazione dell'intermediario dovrà pervenire alla Banca entro la fine del terzo giorno di mercato aperto precedente la data fissata per l'Assemblea (ossia entro il 10 settembre 2025). In ogni caso, si applica il disposto dell'articolo 83-sexies, comma 4, del D.Lgs. 58/98, Testo Unico della Finanza, e pertanto resta ferma la legittimazione all'intervento e al voto qualora le comunicazioni siano pervenute alla Banca oltre il termine

del 10 settembre 2025 sopra indicato, purché entro l'inizio dei lavori.

Si precisa che anche i Soci le cui azioni risultano depositate presso la Banca o presso la Banca Popolare di Sondrio (SUISSE) SA devono richiedere ai sensi dell'articolo 42 del Provvedimento Banca d'Italia-Consob del 13 agosto 2018, l'emissione della comunicazione attestante la legittimazione all'esercizio del diritto di voto.

Ai sensi di quanto previsto dall'art. 106, commi 4 e 7, del D.L. 17 marzo 2020 n. 18, così come successivamente modificato e integrato (da ultimo dal D.L. 27 dicembre 2024 n. 202, convertito con modificazioni dalla L. 21 febbraio 2025 n. 15), l'intervento in Assemblea degli aventi diritto si svolgerà, senza accesso ai locali assembleari, esclusivamente tramite il Rappresentante designato ex art. 135-undecies del D.Lgs. 58/98, Testo Unico della Finanza, con le modalità di cui infra.

Non è previsto l'utilizzo di procedure di voto a distanza o per corrispondenza.

La partecipazione degli Amministratori, dei Sindaci, del Segretario della riunione (compreso il Notaio) e del Rappresentante designato e di altri eventuali soggetti dei quali sia richiesta la partecipazione in Assemblea (diversi da coloro a cui spetta il diritto di voto) potrà avvenire, se del caso, anche mediante l'utilizzo di sistemi di collegamento a distanza, nel rispetto delle disposizioni vigenti ed applicabili.

## Intervento tramite il Rappresentante designato

In conformità all'art. 106, comma 4, D.L. 17 marzo 2020 n. 18, così come successivamente modificato e integrato, l'intervento in Assemblea di coloro ai quali spetta il diritto di voto è consentito esclusivamente per il tramite del Rappresentante designato ex articolo 135-undecies del D.Lgs. 58/98, Testo Unico della Finanza, (il "Rappresentante designato") mediante conferimento, senza spese per il delegante (eccezion fatta per le eventuali spese di spedizione), di apposita delega contenente istruzioni di voto su tutte o alcune delle proposte di delibera in merito agli

argomenti posti all'ordine del giorno.

La Banca ha individuato, quale Rappresentante designato, Computershare S.p.A., con sede in Milano e con uffici in Torino, via Nizza 262/73.

La delega al Rappresentante designato, con le istruzioni di voto, dovrà essere conferita entro la fine del secondo giorno di mercato aperto precedente la data dell'Assemblea (ossia entro l'11 settembre 2025), utilizzando lo specifico modulo che sarà disponibile sul sito internet della Banca all'indirizzo [https://istituzionale.popso.it/it/investor](https://istituzionale.popso.it/it/investor-relations/assemblea-dei-soci)[relations/assemblea-dei-soci](https://istituzionale.popso.it/it/investor-relations/assemblea-dei-soci) recante altresì le modalità che gli aventi diritto potranno utilizzare per conferire la delega, nonché per revocare, entro il medesimo termine, la delega e le istruzioni di voto conferite. In alternativa, la delega potrà essere trasmessa, entro il medesimo termine, utilizzando l'apposito applicativo web, disponibile nel sito internet della Banca all'indirizzo [https://istituzionale.popso.it/it/investor](https://istituzionale.popso.it/it/investor-relations/assemblea-dei-soci)[relations/assemblea-dei-soci,](https://istituzionale.popso.it/it/investor-relations/assemblea-dei-soci) predisposto e gestito direttamente da Computershare S.p.A. e attraverso il quale sarà possibile procedere alla compilazione guidata del modulo di delega e delle istruzioni di voto.

Al Rappresentante designato potranno altresì essere conferite deleghe o subdeleghe ai sensi dell'art. 135-novies del D.Lgs. 58/98, Testo Unico della Finanza, in deroga all'art. 135-undecies del medesimo Decreto, con istruzioni di voto su tutte o alcune delle proposte di delibera in merito agli argomenti posti all'ordine del giorno, potendo a tal fine essere utilizzato lo stesso modulo di cui sopra da inviare a Computershare S.p.A. nei termini e con le modalità indicati nel modulo stesso. Le deleghe e subdeleghe potranno essere conferite anche mediante documento informatico sottoscritto in forma elettronica ai sensi dell'art. 21, comma 2, del D.Lgs. 7 marzo 2005 n. 82 e notificate a Computershare S.p.A. via posta elettronica all'indirizzo [popso@pecserviziotitoli.it.](mailto:popso@pecserviziotitoli.it)

Al fine di consentire al Rappresentante Designato e alla Società di

ricevere e verificare le deleghe/subdeleghe con anticipo rispetto all'inizio dei lavori assembleari, si raccomanda di far pervenire le deleghe/subdeleghe entro le ore 12.00 del 12 settembre 2025.

Le deleghe e subdeleghe avranno effetto per le sole proposte in relazione alle quali siano conferite istruzioni di voto.

# Integrazione dell'ordine del giorno e presentazione di nuove proposte di delibera

Secondo quanto previsto dall'articolo 13 dello Statuto, i soci che, anche congiuntamente, rappresentino una quota di partecipazione complessiva non inferiore al 2,5% del capitale sociale possono chiedere l'integrazione dell'ordine del giorno ovvero presentare proposte di deliberazione su materie già all'ordine del giorno, entro 10 giorni dalla pubblicazione dell'avviso di convocazione dell'Assemblea, secondo i termini e le modalità fissati dall'articolo 126-bis del D.Lgs. 58/98, Testo Unico della Finanza. Al riguardo, si fa presente che, con riferimento ai punti da 1) a 4) all'ordine del giorno, il termine di cui sopra decorre dal 5 agosto 2025, mentre, con riferimento ai punti 5) e 6), il termine decorre dalla pubblicazione della presente integrazione dell'avviso di convocazione.

Le domande dovranno indicare gli ulteriori argomenti proposti, ovvero le proposte di deliberazione su materie già all'ordine del giorno e dovranno essere presentate per iscritto presso la sede sociale della Banca Popolare di Sondrio S.p.A. in Sondrio, piazza Garibaldi 16, ovvero inviate via posta elettronica certificata all'indirizzo segreteria@postacertificata.popso.it, con indicazione, nell'oggetto della e-mail, della dicitura "Assemblea settembre 2025 – integrazione odg/proposte di deliberazione".

I richiedenti dovranno far pervenire alla Banca – tramite il proprio intermediario – le comunicazioni attestanti la legittimazione all'esercizio del diritto ai sensi dell'articolo 43 del Provvedimento Banca d'Italia-Consob del 13 agosto 2018.

Entro i medesimi termini e con le medesime modalità, i soci che

richiedono l'integrazione dovranno predisporre e trasmettere al Consiglio di amministrazione della Banca una relazione che riporti la motivazione delle proposte di deliberazione sulle nuove materie di cui propongono la trattazione ovvero la motivazione delle ulteriori proposte di deliberazione presentate su materie già all'ordine del giorno.

Delle eventuali integrazioni dell'ordine del giorno o della eventuale presentazione di proposte di deliberazione sulle materie già all'ordine del giorno verrà data notizia, con le stesse modalità di pubblicazione del presente avviso, almeno quindici giorni prima della data fissata per l'Assemblea (ovvero entro il 31 agosto 2025). Contestualmente, saranno messe a disposizione del pubblico, nelle medesime forme previste per la documentazione relativa all'Assemblea, le relazioni predisposte dai richiedenti l'integrazione e/o le ulteriori proposte di deliberazione presentate, accompagnate dalle eventuali valutazioni del Consiglio di amministrazione.

L'integrazione dell'ordine del giorno non è ammessa per gli argomenti sui quali l'Assemblea delibera, a norma di legge, su proposta del Consiglio di amministrazione o sulla base di un progetto o di una relazione da esso predisposta, diversa da quelle indicate all'articolo 125 ter, comma 1, del D.Lgs. 58/98, Testo Unico della Finanza.

#### Proposte individuali di deliberazione

I soggetti cui spetta il diritto di voto, anche se rappresentano meno di un quarantesimo del capitale sociale, possono presentare individualmente proposte di deliberazione e/o votazione sugli argomenti all'ordine del giorno. In relazione al fatto che l'intervento in Assemblea è consentito esclusivamente tramite il Rappresentante designato, tali proposte dovranno essere presentate con le modalità sopra richiamate entro il quindicesimo giorno precedente la data fissata per l'Assemblea (ovvero entro il 31 agosto 2025). Le proposte – previa verifica della loro pertinenza rispetto agli argomenti all'ordine del giorno, nonché della loro correttezza

e completezza rispetto alla normativa applicabile – saranno pubblicate entro i due giorni successivi alla scadenza del relativo termine di presentazione (ovvero entro il 2 settembre 2025) sul sito internet della Banca, al fine di mettere in grado gli aventi diritto al voto di esprimersi consapevolmente, anche tenendo conto di tali nuove proposte e, pertanto, consentire al Rappresentante designato di raccogliere eventuali istruzioni di voto anche sulle medesime.

La legittimazione a formulare le proposte dovrà essere attestata dalla comunicazione prevista dall'art. 83-sexies del TUF effettuata dall'intermediario ai fini dell'intervento in Assemblea e dell'esercizio del diritto di voto.

# Diritto di porre domande prima dell'Assemblea sulle materie all'ordine del giorno

Coloro ai quali spetta il diritto di voto possono proporre domande sulle materie all'ordine del giorno unicamente prima dell'Assemblea, presentandole non oltre la record date, ovvero entro il 4 settembre 2025, per iscritto presso la sede sociale della Banca Popolare di Sondrio S.p.A. in Sondrio, piazza Garibaldi 16, ovvero inviandole tramite posta elettronica certificata all'indirizzo segreteria@postacertificata.popso.it, con indicazione, nell'oggetto della e-mail, della dicitura "Assemblea settembre 2025 – domande sulle materie all'ordine del giorno".

I richiedenti dovranno far pervenire alla Banca – tramite il proprio intermediario – le comunicazioni attestanti la legittimazione all'esercizio del diritto ai sensi dell'articolo 43 del Provvedimento Banca d'Italia-Consob del 13 agosto 2018 o la comunicazione per l'intervento in assemblea ai sensi dell'articolo 83-sexies del D.Lgs. 58/98, Testo Unico della Finanza, anche successivamente all'invio delle domande, purché entro il terzo giorno successivo alla record date (ossia entro l'8 settembre 2025, primo giorno lavorativo successivo al termine di cui all'art. 127-ter, comma 1-bis, del D. Lgs. n. 58/98).

In considerazione del fatto che l'intervento in Assemblea è consentito esclusivamente tramite il Rappresentante designato, alle domande tempestivamente pervenute e pertinenti alle materie all'ordine del giorno sarà data risposta il prima possibile e comunque entro il 10 settembre 2025 in apposita sezione del sito internet della Banca. La Banca potrà fornire risposta unitaria alle domande aventi lo stesso contenuto.

La Banca non darà riscontro alle domande che non rispettino le modalità, i termini e le condizioni sopra indicati.

## Modalità e termini di presentazione delle liste per l'elezione dei componenti del Consiglio di amministrazione

Con riferimento ai punti 1.2), 2) e 3) all'ordine del giorno dell'Assemblea, si ricorda che hanno il diritto di presentare una lista per ciascuna delle tre votazioni soltanto i soci che, alla data di presentazione della lista medesima, siano titolari, da soli o insieme ad altri, di azioni con diritto di voto complessivamente rappresentanti almeno l'1% del capitale sociale. Ogni socio non può presentare, o concorrere a presentare, né votare, neppure per interposta persona o tramite società fiduciaria, più di una lista per ciascuna delle tre votazioni. I soci appartenenti al medesimo gruppo – per esso intendendosi il soggetto controllante, le società controllate e le società sottoposte a comune controllo – e i soci che aderiscano a un patto parasociale ai sensi dell'articolo 122 del D.Lgs. 58/98, Testo Unico della Finanza, avente a oggetto azioni dell'emittente, non possono presentare più di una lista per ciascuna delle tre votazioni, anche se per interposta persona o per il tramite di società fiduciarie. Un candidato può essere presente in una sola lista, a pena di ineleggibilità. Si rammenta che le liste dei candidati alla carica di consiglieri devono essere depositate presso la sede sociale ovvero trasmesse tramite posta elettronica certificata al seguente indirizzo [segreteria@postacertificata.popso.it](mailto:segreteria@postacertificata.popso.it) entro il venticinquesimo giorno precedente la data dell'Assemblea, ossia entro il 21 agosto 2025.

I soci presentatori hanno l'onere di comprovare la titolarità del numero di azioni richiesto mediante apposita comunicazione ai sensi dell'articolo 43 del Provvedimento Banca d'Italia-Consob del 13 agosto 2018 rilasciata da un intermediario abilitato in osservanza della normativa vigente, avendo riguardo alle azioni che risultano registrate a loro favore nel giorno in cui le liste sono depositate presso la Banca o trasmesse via PEC; ove non disponibile al momento del deposito delle liste, tale comunicazione dovrà pervenire alla Banca entro il ventunesimo giorno prima della data fissata per l'Assemblea, ossia entro il 25 agosto 2025.

Al fine di consentire l'ordinato svolgimento delle operazioni di voto, si invitano gli azionisti che presenteranno le liste a contrassegnare:

- − con il numero 1 la lista presentata per la votazione di cui al punto 1.2) dell'ordine del giorno;
- − con il numero 2 la lista presentata per la votazione di cui al punto 2) dell'ordine del giorno; e
- con il numero 3 la lista presentata per la votazione di cui al punto 3) dell'ordine del giorno.

Per tutto quanto non specificato sopra riguardo al meccanismo del voto di lista, si rimanda all'articolo 23 dello statuto sociale, che di seguito si riporta.

#### *Presentazione delle liste dei candidati*

- *1.I consiglieri sono nominati sulla base di liste contenenti fino al numero massimo di Consiglieri di amministrazione da eleggere, nelle quali i candidati sono elencati con numerazione progressiva.*
- *2.Le liste contenenti un numero di candidati pari o superiore a tre devono essere composte in modo da assicurare il numero minimo di amministratori indipendenti e l'equilibrio tra i generi richiesti dalla normativa tempo per tempo vigente nella composizione del Consiglio di amministrazione risultante dall'esito del voto, tenuto conto,*

*nell'assegnazione del numero progressivo ai candidati, del meccanismo di elezione disciplinato dal successivo articolo 24.*

- *3.Ogni candidato può presentarsi in una sola lista, a pena di ineleggibilità.*
- *4.Possono presentare una lista il Consiglio di amministrazione e i soci che da soli o congiuntamente rappresentino almeno l'1% del capitale sociale, salvo che la normativa, anche regolamentare, tempo per tempo vigente, stabilisca una percentuale inferiore, da indicare nell'avviso di convocazione dell'Assemblea.*
- *5.Ciascun socio può concorrere alla presentazione di una lista mediante sottoscrizione apposta in calce alla stessa. Un socio non può presentare più di una lista, anche se per interposta persona o per il tramite di società fiduciarie. I soci appartenenti al medesimo gruppo – per esso intendendosi il soggetto controllante, le società controllate e le società sottoposte a comune controllo – e i soci che aderiscano a un patto parasociale ai sensi dell'articolo 122 del Decreto legislativo n. 58/1998 avente a oggetto azioni dell'emittente, non possono presentare più di una lista, anche se per interposta persona o per il tramite di società fiduciarie. In caso di inosservanza la sottoscrizione non viene computata per alcuna lista.*
- *6.Le liste devono essere depositate presso la sede sociale, anche attraverso mezzi di comunicazione a distanza, secondo modalità rese note nell'avviso di convocazione che consentano l'identificazione dei soggetti che procedono al deposito, entro il venticinquesimo giorno precedente la data fissata per l'Assemblea, ovvero nel diverso termine eventualmente previsto dalla normativa tempo per tempo vigente.*
- *7.Le liste devono essere corredate dalle informazioni relative all'identità dei soci che le hanno presentate, con l'indicazione del numero di azioni e della corrispondente percentuale complessivamente detenuta dai soci presentatori e, nei termini stabiliti dalla normativa tempo per tempo vigente, da una comunicazione dalla quale risulti la titolarità della*

I soci che presentano una lista e che siano diversi dagli azionisti che detengono una partecipazione di controllo o di maggioranza relativa devono altresì presentare una dichiarazione che attesti l'assenza, nei confronti di tali azionisti, di rapporti di collegamento qualificati come rilevanti dalla normativa tempo per tempo vigente.*

- *8.La titolarità del numero di azioni necessarie per la presentazione delle liste è determinata avendo riguardo alle azioni che risultano registrate a favore del singolo legittimato, ovvero del gruppo di legittimati presentanti la lista, nel giorno in cui le liste sono depositate presso la sede sociale. ## ORDINARY SHAREHOLDERS' MEETING CALL NOTICE

With reference to the ordinary Shareholders' Meeting of Banca Popolare di Sondrio S.p.A. convened at the registered office in Sondrio, Piazza Garibaldi 16, for 10.00 am on Monday 15 September 2025, in a single call, with a notice published on 5 August 2025 on the Company's website and on the authorised storage mechanism EmarketStorage, the Board of Directors of Banca Popolare di Sondrio S.p.A. resolved to integrate the

#### list of items on the agenda with the addition of points 5) and 6).

In view of the above, the new integrated text of the call notice for the ordinary Shareholders' Meeting on 15 September is set out below.

The Shareholders' Meeting of Banca Popolare di Sondrio S.p.A. (the "Bank") is convened in ordinary session upon the request of BPER Banca S.p.A. pursuant to Art. 2367 of the Italian Civil Code, at the registered office in Sondrio, Piazza Garibaldi 16, for 10.00 am on Monday 15 September 2025 in a single call, to resolve on the following

- 1. Removal of directors expiring in 2026 and appointment of new directors in accordance with the following deliberative process:
	- 1.1. Removal of directors whose terms of office expire upon approval of the financial statements as at 31 December 2025

## Share capital

The share capital, fully subscribed and paid up, amounts to €1,360,157,331 euro and comprises 453,385,777 ordinary shares. Each share confers the right to one vote. As at the date of this notice, the Bank holds 3,565,256 treasury shares.

## Attendance at the Meeting

Pursuant to art. 83-sexies of Legislative Decree 58/98, Consolidated Finance Act, the persons entitled to participate in the Meeting, exclusively through the Designated Representative according to the procedures described below, are those who will hold the right to vote at the end of the accounting day of the seventh trading day prior to the date of the Meeting (04 September 2025 - "record date"), and for whom the Bank has received the relevant communication made by the authorised intermediary.

Therefore, those who will be holders of the Bank's shares only after that date will not be entitled to attend and vote at the Meeting.

The notice from the intermediary must be received by the Bank by the end of the third trading day preceding the date set for the Meeting (i.e. by 10 September 2025). In any case, art. 83-sexies, paragraph 4, of Legislative Decree 58/98, Consolidated Finance Act applies, and therefore the legitimacy to intervene and vote remains in case the communications are received by the Bank after the deadline of 10 September 2025 indicated above, provided that they are received before the start of the works.

It should be noted that Shareholders whose shares are deposited with the

Bank or with Banca Popolare di Sondrio (SUISSE) SA must also request, pursuant to article 42 of the Bank of Italy-Consob Provision of 13 August 2018, the issuance of the notice attesting to the entitlement to exercise voting rights.

Pursuant to the provisions of Article 106, paragraphs 4 and 7 of Decree-Law no. 18 of 17 March 2020, as subsequently amended and supplemented (most recently by Decree-Law no. 202 of 27 December 2024, converted with amendments by Law no. 15 of 21 February 2025, participation in the Meeting of the entitled parties will take place, without access to the meeting rooms, exclusively through the Designated Representative pursuant to art. 135-undecies of Legislative Decree 58/98, Consolidated Finance Act, in the manner described below.

Remote or postal voting procedures will not be used.

The attendance of the Directors, the Auditors, the meeting Secretary (including the Notary Public) and the Designated Representative and any other persons whose attendance at the Shareholders' Meeting is required (other than those with voting rights) may also take place, if necessary, through the use of remote connection systems, in compliance with current and applicable provisions.

### Participation through the Designated Representative

In accordance with art. 106, paragraph 4, Decree Law 17 March 2020 no. 18, as subsequently amended and supplemented, participation in the Shareholders' Meeting of those who have the right to vote is permitted exclusively through the Designated Representative pursuant to art. 135 undecies of Legislative Decree 58/98, Consolidated Finance Act, (the "Designated Representative") by means of conferment, at no cost for the delegating party (except for any postage costs), of a specific proxy containing voting instructions on all or some of the proposals for resolutions on the items on the agenda.

The proxy must be granted to the Designated Representative, with voting instructions, by the end of the second trading day prior to the date of the Meeting (i.e by 11 September 2025), using the specific form available from the Bank's website at the link <https://istituzionale.popso.it/en/investor-relations/shareholders-meeting> , also stating how those entitled can grant the proxy and also revoke, by the same deadline, the proxy granted and the voting instructions given. Alternatively, the proxy can be sent, within the same deadline, using the specific web application available on the Bank's website at [https://istituzionale.popso.it/en/investor-relations/shareholders-meeting,](https://istituzionale.popso.it/en/investor-relations/shareholders-meeting) prepared and managed directly by Computershare S.p.A., through which it will be possible to proceed with the guided filling in of the proxy form and of the voting instructions.

The Designated Representative may also be granted delegations or subdelegations in accordance with art. 135-novies of Legislative Decree 58/98, Consolidated Finance Act, as an exception to art. 135-undecies of the same Decree, with voting instructions on all or some of the resolution proposals regarding the items on the agenda, by using the same form specified above, to be sent to Computershare S.p.A. according to the terms and methods indicated in the form. The proxies/sub-proxies may also be granted by means of an electronic document signed in electronic form pursuant to art. 21, paragraph 2, of Legislative Decree No. 82 of 7 March 2005 and notified to Computershare S.p.A. via e-mail at [popso@pecserviziotitoli.it.](mailto:popso@pecserviziotitoli.it)

In order to enable the Designated Representative and the Company to receive and verify the proxies/sub-proxies ahead of the commencement of the meeting proceedings, it is recommended that the proxies/subproxies be received no later than 12:00 (noon) on 12 September 2025.

The proxies/sub-proxies will only be effective in relation to the proposed

resolutions for which voting instructions were given.

# Additional agenda items and presentation of new proposed resolutions

In accordance with article 13 of the Articles of Association, shareholders who, also jointly, represent a total of not less than 2.5% of the share capital, can request additional topics to be added to the agenda, or present proposed resolutions on matters already on the agenda, within 10 days of publication of the Notice of Meeting, on the basis and with the timing established in art. 126 bis of Legislative Decree 58/98, Consolidated Finance Act. In this regard, it should be noted that, with reference to points 1) to 4) on the agenda, the aforementioned term starts on 5 August 2025, while, with reference to points 5) and 6), the term starts from the publication of this integration to the call notice.

Requests must indicate the additional topics proposed, or the proposed resolutions on matters already on the agenda and must be presented in writing to the head office of Banca Popolare di Sondrio S.p.A., at piazza Garibaldi 16, Sondrio, or sent by certified e-mail to segreteria@postacertificata.popso.it, indicating in the subject line the wording "September 2025 Meeting - additional agenda items/proposed resolutions".

Requesting parties must send to the Bank - through their intermediary the communications certifying their entitlement to exercise the right pursuant to article 43 of the Bank of Italy-Consob Provision of 13 August 2018.

Within the same terms and in the same manner, shareholders requesting the integration must prepare and send to the Board of Directors of the Bank a report outlining the reasons for the new topics that they would like to propose for discussion, or the reasons for additional motions that they would like to propose on matters already on the agenda.

Any additions to the agenda or the presentation of proposals for

resolutions on items already on the agenda shall be notified, by the same means of publication of this notice, at least fifteen days before the date set for the Meeting (i.e. by 31 August 2025). At the same time, the reports prepared by the parties requesting the additions and/or the new proposed resolutions will be made available to the public, together with any considerations made by the Board of Directors, in the same ways as those envisaged for the Meeting documentation.

It is not permitted to add items to the agenda for those topics on which the Shareholders' Meeting has to vote, in accordance with the law, on the proposal of the Board of Directors or on the basis of a project or a report prepared by the Board, other than those mentioned in art. 125-ter, paragraph 1, of Legislative Decree 58/98, Consolidated Finance Act.

#### Individual proposed resolutions

Even if persons entitled to vote represent less than one-fortieth of the share capital, they may still present proposed resolutions individually and/or make voting declarations on items on the agenda. Given that participation at the Meeting is only allowed via the Designated Representative, these proposals must be presented in the manner described above, by the fifteenth day prior to the date scheduled for the Meeting (i.e. by 31 August 2025. After checking their relevance with respect to the items on the agenda, as well as their proper and complete nature with respect to the applicable regulations, the proposals will be published on the Bank's website within two days of the passing of the deadline for submission (i.e. by 02 September 2025), so that those entitled to vote can express themselves in an informed manner, taking account of the new proposals, and therefore allow the Designated Representative to collect any voting instructions in their regard as well.

The legitimacy to formulate proposals shall be certified by the notice, as provided for by art. 83-sexies of the Consolidated Finance Act, issued by the intermediary for the purpose of attending the Meeting and exercising

the voting right.

## Right to ask questions on agenda items before the Meeting

Those who have the right to vote may propose questions on the items on the agenda but only before the Shareholders' Meeting by submitting them in writing no later than the record date, i.e. by 04 September 2025, to the registered office of Banca Popolare di Sondrio S.p.A. in Sondrio, Piazza Garibaldi 16, or by sending them by certified e-mail to segreteria@postacertificata.popso.it, indicating in the subject line of the e-mail "September 2025 Shareholders' Meeting - questions on agenda items".

Requesting parties must send to the Bank - through their intermediary the communications certifying their entitlement to exercise the right pursuant to article 43 of the Bank of Italy-Consob Provision of 13 August 2018 or the communication for intervention in the shareholders' meeting pursuant to article 83-sexies of Legislative Decree 58/98, Consolidated Finance Act, also after the submission of the requests, provided that they are submitted by the third day following the record date (i.e. by 8 September 2025, the first working day following the deadline referred to in Article 127-ter, paragraph 1-bis, of Legislative Decree No. 58/98).

In view of the fact that participation in the Shareholders' Meeting is permitted exclusively through the Designated Representative, questions received in a timely manner and that are relevant to agenda items will be answered as quickly as possible and in any case by 10 September 2025 in a specific section of the Bank's website. The Bank may provide a single response to questions with the same content.

The Bank will not answer questions that do not comply with the above terms, conditions and procedures.

# Procedures and deadlines for the submission of lists for the election of members of the Board of Directors

With reference to items 1.2), 2) and 3) on the agenda of the Shareholders'

Meeting, it is recalled that only shareholders who, on the date of submission of the list, own - alone or together with others - voting shares representing a total of at least 1% of the share capital are entitled to submit a list for each of the three voting sessions. No shareholder may submit, or participate in submitting, or vote for more than one list for each of the three voting sessions, not even through a third party or trust company. Shareholders belonging to the same group - i.e. the parent company, the subsidiaries and the companies subject to joint control and shareholders who signed a shareholders' agreement pursuant to art. 122 of Legislative Decree 58/98, Consolidated Finance Act, relating to the issuer's shares, may not submit more than one list for each of the three voting sessions, not even through a third party or trust company. A candidate may appear on only one list under penalty of ineligibility.

It is recalled that the lists of candidates for the office of director must be filed at the registered office, or sent by certified electronic mail to [segreteria@postacertificata.popso.it](mailto:segreteria@postacertificata.popso.it) , by the twenty-fifth day prior to the date of the Meeting, i.e. by 21 August 2025.

Submitting shareholders have to prove the ownership of the required number of shares by means of specific communication in accordance with Article 43 of the Provision of the Bank of Italy-Consob of 13 August 2018, issued by an authorised intermediary in compliance with current legislation, with regard to the shares registered in their favour on the day on which the lists are filed with the Bank or sent by certified e-mail; if not available at the time of filing the lists, such communication shall be received by the Bank by the twenty-first day before the date set for the Shareholders' Meeting, i.e. by 25 August 2025.

In order to allow the orderly conduct of the voting operations, shareholders submitting lists are requested to mark:

− a number 1 against the list submitted for the vote under agenda item 1.2);

- − a number 2 against the list submitted for the vote under agenda item 2); and
- a number 3 against the list submitted for the vote under agenda item 3).

For any matters not specified above concerning the list voting mechanism, reference should be made to Article 23 of the Articles of Association, which is reproduced below.

- *1.The directors are appointed on the basis of lists containing up to the maximum number of Directors to be elected, in which the candidates are listed with progressive numbering.*
- *2.The lists containing a number of candidates equal to or higher than three must be composed so as to ensure the minimum number of independent directors and gender balance required by the law in force from time to time in the composition of the Board of Directors resulting from the vote, taking into account - in the assignment of the sequential number to the candidates - the election mechanism set out in article 24 below.*

- *7.The lists shall be accompanied by the information related to the identity of the shareholders who have submitted them, with an indication of the number of shares and of the corresponding total percentage held by the submitting shareholders and - within the terms set out by the law in force from time to time - by a notice proving the ownership of the equity investment, as well as by any other information required by said law. Shareholders who submit a list and who are different from shareholders holding a controlling stake or a relative majority shall also submit a statement certifying the absence of any relationship with said shareholders, which can be qualified as significant according to the law in force from time to time.*
- *8.The ownership of the number of shares necessary to submit the lists is determined by taking into account the shares that are registered in favour of the individual legitimated person or group of legitimated persons submitting the list, on the day when the lists are filed at the registered office. Candidates shall state whether they comply with the specific independence requirements set out in the legislation in force from time to time for the position of independent director, and this quality shall be indicated in the lists.*
