#### **INTEGRAZIONE DELL'ORDINE DEL GIORNO DELL'ASSEMBLEA ORDINARIA DEL 15 SETTEMBRE 2025**

Si informa che, con riferimento all'Assemblea ordinaria di Banca Popolare di Sondrio S.p.A. convocata per il 15 settembre 2025, il Consiglio di amministrazione ha deliberato di integrare l'elenco delle materie all'ordine del giorno con l'aggiunta dei punti 5) e 6):

- 5. Risoluzione consensuale degli incarichi di revisione legale dei conti di Banca Popolare di Sondrio S.p.A. assegnati a EY S.p.A. per gli esercizi 2017-2025 e a KPMG S.p.A. per gli esercizi 2026-2034 e dei relativi incarichi per la revisione limitata della Rendicontazione di sostenibilità;
- 6. Conferimento dell'incarico di revisione legale dei conti di Banca Popolare di Sondrio S.p.A. per gli esercizi 2025-2033 e dell'incarico per la revisione limitata della Rendicontazione di sostenibilità per gli esercizi 2025-2027; determinazione del corrispettivo.

# **INTEGRATION TO THE AGENDA OF THE ORDINARY SHAREHOLDERS' MEETING OF SEPTEMBER 15, 2025**

With reference to the ordinary Shareholders' Meeting of Banca Popolare di Sondrio S.p.A. convened for September 15, 2025, the Board of Directors resolved to integrate the list of items on the agenda with the addition of points 5) and 6):

- **5.** Consensual termination of the audit mandates for Banca Popolare di Sondrio S.p.A. awarded to EY S.p.A. for the financial years 2017-2025 and to KPMG S.p.A. for the financial years 2026-2034 and the associated mandates for the limited review of the Sustainability Report;
- **6.** Assignment of the audit mandate for Banca Popolare di Sondrio S.p.A. for the financial years 2025-2033 and the mandate for the limited review of the Sustainability Report for the financial years 2025-2027; determination of the fee.
