## **RICEVUTA RICHIESTA DI CONVOCAZIONE DELL'ASSEMBLEA AI SENSI DELL'ART. 2367 DEL CODICE CIVILE DAL SOCIO MARE ENGINEERING GROUP S.P.A.**

*Todi (PG), 11 agosto 2025* – Come reso noto in data odierna da Mare Engineering Group S.p.A. ("**Mare**"), Eles S.p.A. (la "**Società**" o "**Eles**") PMI innovativa quotata su Euronext Growth Milan e fornitore mondiale di soluzioni per il test dei dispositivi a semiconduttore (*IC Integrated Circuits*) con applicazioni *Safety* e *Mission Critical*, comunica di aver ricevuto in data odierna da parte del socio Mare – titolare di n. 5.163.480 azioni ordinarie Eles rappresentative del 29,04% del capitale sociale della Società – la richiesta di convocazione dell'assemblea ordinaria dei soci di Eles ai sensi dell'art. 2367 del codice civile con il seguente punto all'ordine del giorno:

"*1) Aumento del numero dei membri del Consiglio di Amministrazione da 6 (sei) a 9 (nove).*

- *1.1.) Rideterminazione del numero dei componenti del Consiglio di Amministrazione;*
- *1.2.) Nomina di tre amministratori;*
- *1.3.) Determinazione della durata in carica;*
- *1.4.) Determinazione del compenso.*".

Il Consiglio di Amministrazione sarà tempestivamente convocato per esaminare la richiesta e la documentazione prodotta dal suddetto socio e adottare le determinazioni di propria competenza.

Eles annovera tra i propri clienti aziende multinazionali produttrici di semiconduttori e produttori di moduli elettronici per il settore automotive ed il Settore I&D. La strategia di Eles prevede, oltre ad una crescita per linee interne tramite la penetrazione in nuovi mercati, l'ulteriore diversificazione della clientela e il miglioramento delle soluzioni già offerte ai clienti, una crescita per linee esterne mediante acquisizioni funzionali ad un più veloce sviluppo commerciale nei Paesi esteri.

## **REQUEST RECEIVED FOR THE CONVENING OF A SHAREHOLDERS' MEETING PURSUANT TO ARTICLE 2367 OF THE ITALIAN CIVIL CODE BY THE SHAREHOLDER MARE ENGINEERING GROUP S.P.A.**

*Todi (PG), August 11, 2025* - As announced today by Mare Engineering Group S.p.A. ("**Mare**"), Eles S.p.A. (the "**Company**" or "**Eles**"), an innovative SME listed on Euronext Growth Milan and a global provider of solutions for testing semiconductor devices (IC Integrated Circuits) with Safety and Mission Critical applications, announces that it has today received from its shareholder Mare – holder of 5,163,480 Eles ordinary shares representing 29.04% of the Company's share capital – a request to convene the ordinary shareholders' meeting of Eles pursuant to Article 2367 of the Italian Civil Code with the following item on the agenda:

"*1) Increase in the number of members of the Board of Directors from 6 (six) to 9 (nine).* 

- *1.1.) Redetermination of the number of members of the Board of Directors;*
- *1.2.) Appointment of three directors;*
- *1.3.) Determination of the term of office;*
- *1.4.) Determination of remuneration.".*

The Board of Directors will be promptly convened to examine the request and documentation submitted by the aforementioned shareholder and to adopt the decisions within its competence.
