#### **AKER CARBON CAPTURE ASA**

Den 5. august 2025 klokken 12:00 ble det avholdt ekstraordinær generalforsamling i Aker Carbon Capture ASA, org. nr. 925 355 496 (**«**Selskapet**»)** digitalt via Lumi AGM webcast.

**1 Åpning av generalforsamlingen av personen utpekt av styret til å åpne møtet**

Generalforsamlingen ble åpnet av Camilla Iversen, som var utpekt av styreleder i Selskapet.

Fortegnelsen over møtende aksjonærer viste at 277 985 006 av Selskapets totalt 604 242 218 aksjer var representert. Således deltok ca. 46,01% av den totale aksjekapitalen på generalforsamlingen, herunder gjennom forhåndsstemmer og fullmaktstemmer. Fortegnelsen over fremmøtte aksjeeiere og stemmeresultatet for den enkelte sak er vedlagt denne protokollen.

On 5 August 2025 at 12:00, an Extraordinary General Meeting of Aker Carbon Capture ASA, registration no. 925 355 496 (the "Company") was held digitally via Lumi AGM webcast.

Til behandling forelå følgende saker: The following matters were on the agenda:

#### **1 Opening of the general meeting by the person appointed by the Board of Directors to open the meeting**

The General Meeting was opened by Camilla Iversen, who was appointed by the Chair of the Company's Board of Directors.

The record of attending shareholders showed that 277,985,006 of the Company's total of 604,242,218 shares were represented. Thus, approximately 46.01% of the total share capital participated in the General Meeting, including by advance votes and proxies. A list of the attending shareholders and the voting results for each matter is appended to these minutes.

**2 Election of a person to chair the meeting, and a person to co-sign the meeting minutes**

#### **5 Stryke Selskapets aksjer fra Euronext Oslo Børs**

Generalforsamlingen fattet følgende vedtak: The General Meeting adopted the following

*«Selskapet skal søke Oslo Børs om å stryke alle sine aksjer fra Euronext Oslo Børs i henhold til Oslo Regelbok II punkt 2.10.2.»*

Det forelå ikke flere saker til behandling, og generalforsamlingen ble hevet.

The General Meeting was declared duly constituted.

## **4 Avvikling av Selskapet 4 Liquidation of the Company**

resolution:

*"The Company shall be liquidated. This resolution shall immediately be filed to the Norwegian Register of Business Enterprises."*

## **5 Delisting of the Company's shares from Euronext Oslo Børs**

resolution:

*"The Company shall apply to the Oslo Stock Exchange for a delisting of all its shares from Euronext Oslo Børs pursuant to the Oslo Rule Book II section 2.10.2."*

There being no further matters on the agenda, the General Meeting was adjourned.
