RECORDATI: RESIGNATION OF A STANDING STATUTORY AUDITOR AND REPLACEMENT BY AN ALTERNATE AUDITOR

Milan, 4 August 2025 - Recordati S.p.A. announces that Ms. Livia Amidani Aliberti – Standing Statutory Auditor drawn from the list submitted by the majority shareholder Rossini S.ar.l. for the Shareholders' Meeting held on 21st April 2023 for the appointment of the whole Board of Statutory Auditors – has resigned today, effective immediately, from her position due to personal reasons.

The Company thanks Ms. Amidani Aliberti for her contribution and commitment to the performance of her duties as of 2014.

As a result, pursuant to the law and the Bylaws, as of today and until the next Shareholders Meeting, Ms. Silvia Mina, the current female-gender Alternate Statutory Auditor drawn from the same list mentioned above, takes over the position of Standing Statutory Auditor.

Ms. Mina's curriculum vitae, already made available to the public at the aforementioned Shareholders' Meeting of 21st April 2023, is available on the Company's website at www.recordati.com, in the Investors/Shareholder Information section, as well as within the 2024 Report on Corporate Governance and Ownership Structure, available at www.recordati.com, Governance/Corporate Governance Report section.

On the basis of the available information, neither Ms. Amidani Aliberti nor Ms. Mina hold shares in the Company.
