Change of the Issued Share Capital and related Voting Rights

MFE-MEDIAFOREUROPE N.V. ("MFE" or the "Company") hereby announces the change of its issued share capital (i.e., represented by all issued shares) and, therefore, of the related voting rights effective as of today following the completion of the issue of new MFE's "A" ordinary shares (collectively, the "A Shares") to fulfill the Company's reimbursement obligations towards its controlling shareholder, FINANZIARIA D'INVESTIMENTO – FININVEST S.P.A.("Fininvest"), pursuant to the escrow agreement entered into between MFE, Fininvest, and BNP PARIBAS S.A. – GERMAN BRANCH on 27 July 2025 (as announced to the market by the Company on 28 July 2025).
In greater detail, on 31 July 2025, the issue in favor of Fininvest, with effective date as of the date hereof (4 August 2025), of No. 9,608,791 new A Shares was passed, being the newly-issued A Shares fungible share with those already in issue as of the date hereof and to be admitted to trading on the Italian and Spanish regulated markets, with a par value of EUR 0.06 each and granting the right to one vote and with regular dividend rights (coupon No. 3) (collectively, the "Issue").
As a result of the Issue, MFE's issued share capital was increased from EUR 161,676,622.14 to EUR 162,253,149.60.
The following table compares the data relating to the issued share capital, the shares issued, and the related voting rights before and after the Issue, it being understood that, according to MFE's articles of association, each A Share grants one voting right, while each ordinary class "B" share of the Company (collectively, the "B Shares") grants No. 10 voting rights.

Modifica del capitale sociale emesso e dei relativi diritti di voto

MFE-MEDIAFOREUROPE N.V. ("MFE" o la "Società") annuncia che, in data odierna, ha avuto efficacia la modifica del proprio capitale sociale cd. "emesso" (cioè rappresentato da azioni emesse) e, quindi, dei relativi diritti di voto ad esito del perfezionamento dell'emissione di nuove azioni ordinarie di categoria "A" di MFE (in generale, le "Azioni A") al servizio dell'adempimento, da parte della Società, degli obblighi restitutori nei confronti del proprio azionista di controllo, FINANZIARIA D'INVESTIMENTO – FININVEST S.P.A. ("Fininvest"), ai sensi dell'escrow agreement concluso tra MFE, Fininvest e BNP PARIBAS S.A. – GERMAN BRANCH in data 27 luglio 2025 (come comunicato al mercato dalla Società in data 28 luglio 2025).
Più in dettaglio, in data 31 luglio 2025, è stata deliberata l'emissione in favore di Fininvest, con data di efficacia alla data odierna (4 agosto 2025), di n° 9.608.791 nuove Azioni A, fungibili con quelle già in circolazione alla data odierna e, al pari di queste, destinate all'ammissione alle negoziazioni sui mercati regolamentati italiani e spagnoli, di valore nominale unitario di 0,06 euro, che danno diritto ad un diritto di voto ciascuna e con godimento regolare (cedola n° 3) (nel complesso, l'"Emissione").
Per effetto dell'Emissione, il capitale sociale emesso di MFE è stato aumentato da 161.676.622,14 euro a 162.253.149,60 euro.
La seguente tabella raffronta i dati relativi al capitale sociale emesso, alle azioni emesse ed ai relativi diritti di voto prima e dopo l'Emissione, rammentandosi che, secondo lo statuto sociale di MFE, ciascuna Azione A attribuisce un diritto di voto mentre ciascuna azione ordinaria di categoria "B" della Società (nel loro insieme, le "Azioni B") 10 diritti di voto.
