APPROVED THE MERGER BY INCORPORATION OF MATRIX SOLUTION S.R.L. INTO SYS-DAT S.P.A.

Milan, 31 July 2025 - SYS-DAT S.p.A., a company listed on Euronext Milan, STAR segment ("SYS-DAT" or the "Company") (SYS.MI), a successful Italian operator in the ICT sector that offers innovative IT services and solutions for the main industrial segments and services market, announces that on 30 July 2025 the company's Board of Directors, meeting in notarial session, approved the merger by incorporation of the wholly-owned company Matrix Solution S.r.l. ("Matrix Solution") into SYS-DAT, and that on today's date, the minutes have been filed with the Companies Register of Milan Monza Brianza Lodi.

The decision regarding the merger by incorporation, as provided for by Article 24.2(i) of the Articles of Association, was taken by the Board of Directors of SYS-DAT in a notarial session, as the circumstance envisaged pursuant to Article 2505, paragraph 3, of the Italian Civil Code did not occur.

The minutes of the shareholders' meetings of Matrix Solution and the SYS-DAT Board of Directors will be made available to the public at the Company's registered office and on the Company's website www.sys-datgroup.com, in the "Investors/Extraordinary Operations" section, as well as on the authorized storage mechanism "E-MARKET STORAGE" at , within the terms established by law.
