MFE-MEDIAFOREUROPE N.V. ("**MFE**" or the "**Company**") hereby announces that the extraordinary shareholders' general meeting of MFE held today (the "**EGM**") resolved to increase the amount of the Company's authorised share capital by amending the articles of association of MFE.

More in detail, as already indicated in the explanatory notes to the agenda of the EGM, the increase is only related to the Company's class "A" ordinary shares and entails the increase of MFE's overall authorised share capital to EUR 191,676,622.14.

The EGM also granted MFE's Board of Directors powers to issue such new Company's class "A" ordinary shares as allowed under MFE's authorized share capital in order to settle any share component of any accelerated bookbuilding offering, block trade, purchase, or other arrangement or transaction on PROSIEBENSAT.1 MEDIA SE's ("**P7**") shares, in each case outside the settlement of the offer over P7's shares announced by MFE on 26 March 2025, and therefore with exclusion or limitation of the Company's shareholders' pre-emptive rights.

The voting record and the minutes of the Meeting will be made available in accordance with applicable regulations.

**L'assemblea straordinaria approva l'aumento del capitale autorizzato e delega il consiglio di amministrazione all'emissione di nuove azioni al servizio di operazioni su azioni P7 eventualmente concluse al di fuori dell'offerta sulle azioni P7.**

MFE-MEDIAFOREUROPE N.V. ("**MFE**" o la "**Società**") rende noto che l'assemblea straordinaria degli azionisti di MFE tenutasi in data odierna (l'"**Assemblea**") ha deliberato di aumentare l'ammontare del capitale sociale cd. autorizzato della Società mediante modifica dello statuto sociale di MFE.

Più nel dettaglio, come già indicato nella relazione illustrativa del consiglio di amministrazione di MFE all'Assemblea, l'aumento in questione riguarda le sole azioni ordinarie di categoria "A" della Società e comporta l'innalzamento del capitale sociale cd. autorizzato complessivo di MFE a 191.676.622,14 euro.

L'Assemblea ha inoltre delegato il consiglio di amministrazione di MFE ad emettere nuove azioni ordinarie di categoria "A" della Società nei limiti del nuovo capitale autorizzato al servizio della componente in natura di operazioni di *reverse accelerated bookbuilding*, compravendita ai blocchi o altre operazioni simili su azioni PROSIEBENSAT.1 MEDIA SE ("**P7**") eventualmente concluse al di fuori dell'offerta su azioni P7 annunciata da MFE lo scorso 26 marzo 2025, e perciò con esclusione o limitazione del diritto di opzione degli azionisti della Società.

Il rendiconto delle votazioni ed il verbale dell'Assemblea saranno resi disponibili in conformità all'applicabile disciplina vigente.
