Saipem: Pubblicazione della documentazione per l'Assemblea Straordinaria degli Azionisti
Milano, 31 luglio 2025 – Saipem S.p.A. (la "Società") informa che, con riferimento all'Assemblea Straordinaria dei Soci convocata per il giorno 25 settembre 2025, sono disponibili presso la sede sociale, sul sito internet della Società (www.saipem.com | sezione "Governance" – "Assemblea degli azionisti"), presso il meccanismo di stoccaggio autorizzato "eMarket STORAGE" () e sul sito internet di Borsa Italiana S.p.A. (www.borsaitaliana.it) i seguenti documenti: (i) la Relazione Illustrativa del Consiglio di Amministrazione di Subsea 7 S.A. sull'operazione di fusione transfrontaliera per incorporazione di Subsea 7 S.A. in Saipem, (ii) la relazione dell'esperto indipendente redatta da Ernst & Young S.A. ai sensi della legge lussemburghese del 10 agosto 1915 sulle società commerciali, come modificata dalla legge lussemburghese di recepimento della Mobility Directive, e (iii) il Bilancio intermedio al 30 giugno 2025 di Subsea 7 S.A..

Saipem: Publication of the documentation related to the Extraordinary Shareholders' Meeting
Milan (Italy), July 31, 2025 – Saipem S.p.A. ("Company") informs that, with reference to the Extraordinary Shareholders' Meeting to be held on September 25, 2025, the following documentation is available at the Company's registered office, on the Company's website (www.saipem.com | Section "Governance" – "Shareholders' Meeting"), at the authorized "eMarket STORAGE" system () and on the website of Borsa Italiana S.p.A. (www.borsaitaliana.it): (i) the Report of the Board of Directors of Subsea 7 S.A. on the common cross border merger plan by incorporation of Subsea 7 S.A. into Saipem, (ii) the independent expert's report prepared by Ernst & Young S.A. pursuant to the Luxembourg Law of 10 August 1915 regarding commercial companies, as amended by the Luxembourg Law implementing the Mobility Directive, and (iii) the interim financial statements of Subsea 7 S.A. as of June 30, 2025.
