#### **RISULTATI FINANZIARI CONSOLIDATI AL 30 GIUGNO 2025 [6](#page-2-0)**

I **Ricavi** ammontano a **€3,4 miliardi**, **in aumento del 31,3%**, grazie alla progressione costante dei progetti in corso di esecuzione.

L'**EBITDA** è pari a **€232,1 milioni, in crescita del 36,2%**, sostenuto dai maggiori ricavi e da una efficiente gestione dei costi di struttura. Il **margine EBITDA** è pari al **6,7%**, con un **incremento di 20 punti base**, anche per il contributo di servizi a più alto valore aggiunto.

Ammortamenti, svalutazioni e accantonamenti ammontano complessivamente a €32,5 milioni, in leggero aumento.

# Il **Risultato Operativo (EBIT)** è pari a **€199,7 milioni, in crescita del 42,9%**, con un **margine del 5,8%**, **in aumento di 50 punti base**.

La gestione finanziaria esprime oneri netti per €4,8 milioni, rispetto a €2,9 milioni di proventi netti nel primo semestre del 2024, anche tenendo conto della variazione del mark-to-market degli strumenti derivati.

**L'Utile ante imposte** è pari a **€194,9 milioni,** a fronte del quale sono state stimate imposte per un ammontare pari a €62,0 milioni. L'aliquota fiscale è pari al 31,8%, tenuto conto delle diverse giurisdizioni in cui sono state svolte le attività del Gruppo.

L'**Utile netto** è pari a **€132,9 milioni, in crescita del 37,0%,** con un'**incidenza sui ricavi del 3,9%**, **in aumento di 20 punti base**.

Le **Disponibilità Nette Adjusted**<sup>3</sup> al 30 giugno 2025 sono pari a **€300,1 milioni**, rispetto a €375,1 milioni al 31 dicembre 2024, al netto degli esborsi relativi a dividendi per €119,5 milioni[7](#page-2-1) , relativi al programma di acquisto di azioni proprie per €63,4 milioni e agli investimenti per €30,2 milioni, principalmente dedicati allo sviluppo interno e al rafforzamento delle nuove tecnologie e ai progetti di innovazione digitale.

Il **Patrimonio Netto Consolidato** è pari a **€616,8 milioni**, rispetto a €641,1 milioni al 31 dicembre 2024, per effetto della distribuzione dei dividendi e delle fluttuazioni dei tassi di cambio, parzialmente compensato dall'utile di periodo.

I **Ricavi** sono pari a **€194,5 milioni, in aumento del 22,7%,** trainati da soluzioni e servizi tecnologici principalmente per la produzione di carburanti a basse emissioni di carbonio e circolari e fertilizzanti azotati, così come per la cattura della CO2.

L'**EBITDA** è pari a **€48,6 milioni, in crescita del 25,2%,** sostenuto dai maggiori volumi, con **un margine del 25,0% in aumento di 50 punti base,** per effetto del contributo delle licenze e dei servizi di ingegneria ad alto valore aggiunto nel mix di prodotto durante il periodo.

L'**EBITDA** è pari a **€183,5 milioni**, **in crescita del 39,5%**, con un **margine del 5,6% in aumento di 30 punti base**, che beneficia anche di una maggiore leva operativa.

Le **Acquisizioni di Nuovi Ordini** nel primo semestre 2025 sono state pari a **€5,6 miliardi**.

In particolare, la business unit **Sustainable Technology Solutions**, guidata da **NEXTCHEM**, ha acquisito nuovi ordini per **€211,8 milioni**. I principali progetti assegnati nel primo semestre includono:

- un contratto di licenza per un'unità di produzione di idrogeno in Malesia;
- un process design package per l'efficientamento di un impianto di fertilizzanti in Cina;
- un contratto per servizi di ingegneria ad alto valore aggiunto per un progetto waste-to-chemical nel Sud Europa;
- un contratto per la fornitura di proprietary equipment per un progetto finalizzato alla produzione di carburanti a bassa impronta carbonica nell'Africa Sub-Sahariana;
- un contratto triennale per la fornitura di servizi tecnologici e di ingegneria relativi al complesso di recupero dello zolfo della raffineria di Jubail, in Arabia Saudita;
- un contratto per uno studio di ingegneria relativo ad un progetto di cattura della CO<sup>2</sup> in Italia;
- un contratto di licenza e process design package per un impianto di anidride maleica in Cina.

La business unit **Integrated E&C Solutions** ha consuntivato nuovi ordini per **€5,4 miliardi.** I principali contratti assegnati nel primo semestre includono:

- un EPC per un'unità di produzione di idrogeno nella bioraffineria di Pengerang in Malesia;
- un EPC per il complesso petrolchimico Silleno in Kazakistan;
- un EPC per l'efficientamento di un impianto per la produzione di biocarburanti nell'Africa Sub-Sahariana;
- un EPCm per un impianto di idrogeno verde all'interno di una raffineria nel Sud Europa;

• un EPC per il complesso di separazione del gas di Tengiz in Kazakistan.

# **Progetto Silleno**

Il progetto prevede lo sviluppo di un complesso petrolchimico destinato a produrre 1.250 migliaia di tonnellate all'anno di polietilene nella regione di Atyrau in Kazakistan. Il progetto, assegnato a marzo del 2025 per un valore complessivo di \$3,6 miliardi, sarà realizzato da una joint venture guidata da TECNIMONT. Le attività di ingegneria sono già iniziate, mentre la mechanical completion è prevista alla fine del 2028.

Lo scopo del lavoro comprende servizi di ingegneria, la fornitura di materiali e attrezzature, e le attività di costruzione fino alla mechanical completion, oltre alle relative utility, infrastrutture e impianti ausiliari per l'intero complesso. Il contratto include anche servizi di commissioning su base rimborsabile fino all'avviamento dell'impianto e al test di garanzia.

# **Progetto Tengiz**

Il progetto, assegnato a maggio del 2025, prevede lo sviluppo di un complesso di separazione del gas prodotto dal giacimento di Tengiz situato nella regione di Atyrau in Kazakistan. Il gas naturale processato dal complesso di separazione di Tengiz sarà destinato ad alimentare l'impianto di Silleno sopra menzionato.

La realizzazione del progetto è affidata a un consorzio e lo scopo del lavoro comprende le attività di ingegneria, approvvigionamento, costruzione e avviamento dell'impianto. Il valore del contratto per TECNIMONT è di circa \$1,1 miliardi e riguarderà le attività di ingegneria, approvvigionamento e avviamento dell'impianto. Il completamento del progetto è previsto nel primo trimestre del 2029.

Per effetto degli ordini acquisiti nel periodo, il **Portafoglio Ordini** del Gruppo al 30 giugno 2025 raggiunge il valore di **€15,7 miliardi.**

# **AGGIORNAMENTO SUL PROGETTO HAIL AND GHASHA**

Il progetto Hail e Ghasha, assegnato a TECNIMONT a ottobre del 2023 per \$8,7 miliardi, il cui completamento è previsto nel 2028, sta procedendo in linea con le tempistiche attese. A fine giugno 2025, il progetto ha raggiunto un avanzamento complessivo del 33% e oltre diciotto milioni di ore uomo senza incidenti. Le attività di ingegneria hanno raggiunto un avanzamento del 69%, con alcune attività in anticipo rispetto al programma. Le attività di approvvigionamento sono completate al 90%, con le attività di manufacturing in progress e la consegna dei primi bulk material. L'attività di costruzione sta accelerando, con un avanzamento del 15%, con le field facility quasi completate e l'installazione delle prime apparecchiature in corso.

# **FATTI DI RILIEVO AVVENUTI DOPO LA CHIUSURA DEL PERIODO**

# **Assegnazione di un contratto per il progetto Pacifico Mexinol**

Il 1° luglio 2025, MAIRE ha annunciato l'assegnazione a NEXTCHEM di un contratto del valore di €210 milioni per l'ingegneria di base e la fornitura di proprietary equipment per il progetto di metanolo a bassissime emissioni di carbonio Pacifico Mexinol, in Messico. Questo contratto, che fa seguito all'assegnazione del contratto di licenza annunciato a febbraio, è soggetto alla decisione finale di investimento, prevista nel quarto trimestre del 2025.

# **OUTLOOK**

In un contesto in rapida evoluzione, il Gruppo beneficia di un solido portafoglio ordini, ulteriormente rafforzato e diversificato dai contratti di recente acquisizione e composto da progetti non direttamente impattati dalle attuali tensioni geopolitiche. Al tempo stesso, la domanda di soluzioni tecnologiche innovative e, più in generale, il segmento downstream, sono caratterizzati da fondamentali robusti e resilienti, idonei ad esprimere ulteriori opportunità commerciali che si ritiene possano concretizzarsi in nuovi contratti nei prossimi mesi, in linea con la previsione di €8 miliardi di nuovi ordini per l'anno 2025.

# **Guidance 2025**

Nel primo semestre dell'anno, il Gruppo ha riportato un'eccellente performance operativa, trainata dalla puntuale esecuzione dei progetti, specialmente in Medio Oriente e in Nord Africa.

Le attività pianificate relative ai progetti in portafoglio consentono di confermare lo stesso trend nella seconda parte dell'anno, supportando la crescita dei ricavi e l'ampliamento dei margini della business unit IE&CS nel 2025. Parallelamente, si prevede un'accelerazione della business unit STS nella seconda parte dell'anno, in virtù dei contratti di recente assegnazione e dei progetti la cui acquisizione è attesa nei prossimi mesi, beneficiando dell'offerta di servizi integrati con la business unit IE&CS.

L'eccellente performance operativa dei primi sei mesi e la conseguente migliore visibilità per il secondo semestre dell'anno hanno consentito di rivedere al rialzo la guidance sui Ricavi e sull'EBITDA del Gruppo per il 2025, confermando al contempo tutti gli altri indicatori chiave di performance<sup>8</sup> [.](#page-5-0)

# **AGGIORNAMENTO SULLA CRESCITA ORGANICA DEL GRUPPO**

Per supportare la crescita del Gruppo, MAIRE continua a investire nell'acquisizione di nuovi talenti. L'organico al 30 giugno 2025 è pari a 10.179 dipendenti, in crescita di 440 risorse rispetto al 31 dicembre 2024.

# **AGGIORNAMENTO SULL'IMPLEMENTAZIONE DEL PIANO DI SOSTENIBILITÀ**

Nel corso del primo semestre del 2025, MAIRE ha registrato un avanzamento nell'attuazione della strategia di sostenibilità del Gruppo. L'impegno su tutte le aree - ambiente, sociale e governance e la modalità di governo del commitment sono sanciti dalla nuova politica di sostenibilità, ispirata dalla strategia definita dal Gruppo e implementata attraverso un piano ESG, basato su una accurata analisi di doppia materialità, allineato alla Corporate Sustainability Reporting Directive e in coerenza col piano industriale. ## **Impatto sociale**

Sul fronte sociale, MAIRE e NEXTCHEM hanno ottenuto da DNV la certificazione di conformità alla norma UNI PdR 125:2022 relativa alla parità di genere nel contesto lavorativo. Un risultato di grande rilevanza per il Gruppo, da sempre impegnato su diversity, equity e inclusion, e nello specifico sul rafforzamento della presenza femminile nel settore, con numerose iniziative rivolte anche all'esterno dell'azienda, al mondo della scuola e delle Università, volte al raggiungimento della parità di genere nelle nuove assunzioni al 2032.

# **Impatto ambientale**

Il Gruppo ha raggiunto, con l'ultimo impianto fotovoltaico operante negli Emirati Arabi Uniti, i 3MW di potenza installata di rinnovabili sulle strutture che ospitano l'organizzazione impegnata nell'esecuzione dei progetti. Gli impianti di produzione di energia rinnovabile contribuiranno al raggiungimento dell'obiettivo di neutralità carbonica del Gruppo per le emissioni Scope 1 e 2, prodotte dai consumi di combustibili ed energia elettrica in uffici e cantieri, entro il 2029. Sempre negli Emirati Arabi Uniti, è stato attivato un impianto di osmosi inversa per la desalinizzazione dell'acqua per diminuire il prelievo di acqua dolce.

#### **Governance**

NEXTCHEM ha ottenuto il rating di legalità con il massimo punteggio, da parte dell'Autorità Garante della Concorrenza e del Mercato, in data 29 luglio 2025.

#### **CONSOLIDATED FINANCIAL RESULTS AS OF 30 JUNE 2025 [6](#page-13-5)**

**Revenues** were **€3.4 billion**, **up 31.3%**, thanks to the consistent progress of projects under execution.

**EBITDA** was **€232.1 million, up 36.2%**, driven by higher revenues and the efficient management of overhead costs. **EBITDA Margin** was **6.7%**, **up 20 basis points**, also thanks to the contribution from higher value-added services.

Amortization, Depreciation, Write-downs, and Provisions were €32.5 million, slightly up.

# **EBIT** was **€199.7 million, up 42.9%**, with a **margin of 5.8%**, **up 50 basis points**.

Net financial charges were €4.8 million, compared to €2.9 million of net financial income in the first half of 2024, also taking into account the variation of the mark-to-market of derivative instruments.

**Pre-tax Income** was **€194.9 million** and the tax provision was €62.0 million. The tax rate was 31.8%, reflecting the various jurisdictions in which the Group's operations have been carried out.

# **Net Income** was **€132.9 million, up 37.0%,** with a **3.9% margin**, **up 20 basis points**.

**Adjusted Net Cash**<sup>3</sup> as of 30 June 2025 was **€300.1 million**, compared to €375.1 million as of 31 December 2024, net of outflows for the dividends of €119.5 million[7](#page-14-0) , for the share buy-back program of €63.4 million, and for capital expenditures of €30.2 million, which were mainly dedicated to the internal development and scale-up of new technologies and to digital innovation projects.

**Consolidated Shareholders' Equity** was **€616.8 million**, compared to €641.1 million as of 31 December 2024, as a result of the dividend payments and the impact of exchange rate fluctuations, partially offset by the profit of the period.

**Order Intake** in the first half of 2025 was **€5.6 billion**.

In particular, the **Sustainable Technology Solutions** business unit, led by **NEXTCHEM**, generated new orders for **€211.8 million**. The main projects awarded in the first half include:

- a licensing contract for a hydrogen production unit in Malaysia;
- a process design package to upgrade a fertilizer plant in China;
- a contract for high value-added engineering services for a waste-to-chemical project in Southern Europe;
- a proprietary equipment contract for a project aimed at producing low-carbon fuels in Sub-Saharan Africa;
- a three-year contract to provide engineering and technology services for the Sulphur Recovery Complex at Jubail refinery, in Saudi Arabia;
- a contract for an engineering study related to a CO<sup>2</sup> capture project in Italy;
- a licensing contract and process design package for a maleic anhydride plant in China.

The **Integrated E&C Solutions** business unit generated new orders for **€5.4 billion.** The main contracts awarded in the first half include:

- an EPC for a hydrogen production unit by Pengerang Biorefinery in Malaysia;
- an EPC for the Silleno petrochemical complex in Kazakhstan;
- an EPC for a complex upgrade aimed at producing low-carbon fuels in Sub-Saharan Africa;
- an EPCm for a green hydrogen unit within an existing refinery in Southern Europe;
- an EPC for the Tengiz gas separation complex in Kazakhstan.

#### **Silleno project**

The project entails the development of a petrochemical complex with a production capacity of 1,250 thousand tons per year of polyethylene in the Atyrau region of Kazakhstan. The project, awarded in March 2025 for an overall value of \$3.6 billion, will be executed by a joint venture led by TECNIMONT. The engineering activities have already started, while mechanical completion is expected at the end of 2028.

The scope of work includes engineering services, equipment and material supply, and construction activities up to the mechanical completion, along with the relevant utilities, infrastructure and offsite facilities for the entire complex. The contract also includes for the commissioning services on a reimbursable basis until the start-up and the guarantee test run.

# **Tengiz project**

The project, awarded in May 2025, entails the development of a Gas Separation Complex (GSC) produced at the Tengiz field in the Atyrau Region of Kazakhstan in order to feed natural gas to the Silleno plant mentioned above.

The project will be executed by a consortium and the scope of work includes the engineering, procurement, construction and commissioning works.

The contract value for TECNIMONT is approximately \$1.1 billion and the company will be mainly responsible for the engineering, procurement and commissioning activities. The completion date is expected in the first quarter of 2029.

As a result of the order intake of the period, the Group's **Backlog** at 30 June 2025 amounted to **€15.7 billion.**

# **UPDATE ON THE HAIL AND GHASHA PROJECT**

The Hail and Ghasha project, awarded to TECNIMONT in October 2023 for \$8.7 billion, is progressing as planned, with completion expected in 2028. As of the end of June 2025, the project team has reached an overall progress of 33% and over eighteen million safe man-hours. Engineering works are advancing, with some tasks ahead of schedule, reaching a 69% progress. Procurement is 90% complete, with manufacturing activities in progress and first bulk material shipments. Construction is accelerating, reaching a 15% progress, with field facilities almost completed and initial equipment installations underway.

# **SIGNIFICANT EVENTS AFTER THE CLOSE OF THE PERIOD**

# **Contract award for the Pacifico Mexinol project**

On 1 July 2025, MAIRE announced that NEXTCHEM has been awarded a €210 million contract for the basic engineering and the supply of critical proprietary equipment for the Pacifico Mexinol ultralow carbon methanol project in Mexico. This contract, which follows the licensing award announced last February, is subject to a final investment decision, expected in the fourth quarter of 2025.

# **OUTLOOK**

Amid a fast-changing environment, the Group benefits from a solid backlog, further strengthened and diversified by the recent awards, and composed by projects which are not directly impacted by the current geopolitical tensions. At the same time, the demand for innovative technological solutions and, more in general, the downstream segment, are characterised by robust and resilient fundamentals, suitable to bring additional commercial opportunities that may materialize into new contracts in the coming months, in line with the forecast of €8 billion of order intake for 2025.

# **2025 guidance**

The Group reported a strong operating performance in the first half of the year, driven by a punctual execution of projects, particularly in the Middle East and North Africa.

The planned activities of the existing projects are expected to confirm the same trend in the second half of the year, supporting revenue growth and margin expansion of the IE&CS business unit in 2025. At the same time, the STS business unit is expected to accelerate in the second half of the year, driven by the recent awards, as well as by projects which are likely to be acquired in the coming months, benefitting from the integrated offering with the IE&CS business unit.

The excellent operational performance of the first half and the resulting improved visibility on the second half of the year has led to an upward revision of the Group's 2025 revenue and EBITDA guidance, while confirming all the other KPIs[8](#page-17-0) .

# **UPDATE ON THE ORGANIC GROWTH OF THE GROUP**

To support the Group's growth, MAIRE continues to invest in acquiring new talent. Headcount reached 10,179 employees as of 30 June 2025, an increase of 440 professionals compared to 31 December 2024.

# **UPDATE ON THE EXECUTION OF THE SUSTAINABILITY PLAN**

During the first half of 2025, MAIRE made progress in implementing the Group's sustainability strategy. The environmental, social, and governance commitments as well as oversight methods are set forth in the new sustainability policy, inspired by the Group's strategy and implemented through an ESG plan, based on a thorough double materiality analysis, aligned with the Corporate Sustainability Reporting Directive and consistent with the business plan. # **Social impact**

On the social front, MAIRE and NEXTCHEM have achieved DNV certification of compliance with the UNI PdR 125:2022 standard on gender equality in the workplace. This is a significant achievement for the Group, which has always been committed to diversity, equity, and inclusion, and specifically to strengthening women presence in the industry, with numerous initiatives designed for the

community, schools, and universities, with the objective of reaching gender equality in new hires by 2032.

# **Environmental impact**

With its latest photovoltaic plant operating in the United Arab Emirates, the Group has reached 3MW of installed renewable energy capacity across temporary construction facilities which host the workforce serving the project execution. The renewable energy production plants will contribute to achieving the Group's target of carbon neutrality by 2029 for Scope 1 and 2 emissions, produced by fuel and electricity consumption in offices and construction sites. Also in the United Arab Emirates, a reverse osmosis plant for water desalination has become operational to reduce freshwater withdrawal.

NEXTCHEM obtained a Legality Rating certification by the Italian Competition Authority with a top score on 29 July 2025.
