Deliberata la prima tranche dell'erogazione in luogo del dividendo 2025: € 0,26 per azione
San Donato Milanese, 24 luglio 2025 – Il Consiglio di Amministrazione, presieduto da Giuseppe Zafarana, nella riunione odierna, ha deliberato di distribuire agli azionisti la prima delle quattro tranche dell'erogazione in luogo del dividendo 2025 1 , a valere sulle riserve disponibili, di € 0,26 (su una erogazione complessiva annuale, in luogo del dividendo, pari a € 1,05) per ciascuna azione in circolazione alla data di stacco cedola del 22 settembre 2025 2 , con messa in pagamento il 24 settembre 2025 3 , in linea con quanto deliberato dall'Assemblea del 14 maggio 2025.
Per i possessori di ADRs registrati entro il 23 settembre 2025, quotati alla Borsa di New York e rappresentativi ciascuno di due azioni Eni, la prima tranche dell'erogazione sarà di € 0,52 per ADR, pagabile il 7 ottobre 2025 4 .

4 Alla data di pagamento, Citibank, N.A. provvederà al pagamento ai possessori di ADR al netto della ritenuta alla fonte a titolo di imposta, come previsto dalla legislazione italiana applicabile a tutti i Depositary Trust Company Participants.

Approval of the first tranche of the provision in place of 2025 dividend: € 0.26 per share
San Donato Milanese, 24 July 2025 – Eni's Board of Directors, chaired by Giuseppe Zafarana, today resolved to distribute to Shareholders the first of the four tranches of the provision in place of the 2025 dividend1 from Eni S.p.A. available reserves of € 0.26 (compared to a total annual provision, in place of the dividend, equal to € 1.05) per share outstanding at the exdividend date as of 22 September 2025 2 , payable on 24 September 2025 3 , as resolved by the Shareholders' Meeting of 14 May 2025.
Holders of ADRs, outstanding at the record date of 23 September 2025, will receive € 0.52 per ADR, payable on 7 October 2025 4 , with each ADR listed on the New York Stock Exchange representing two Eni shares.
