Saipem: Pubblicazione della documentazione per l'Assemblea Straordinaria degli Azionisti

Milano, 24 luglio 2025 – Saipem S.p.A. (la "Società") informa che è disponibile presso la sede sociale, sul sito internet della Società (www.saipem.com | sezione "Governance" – "Assemblea degli azionisti"), presso il meccanismo di stoccaggio autorizzato "eMarket STORAGE" () e sul sito internet di Borsa Italiana S.p.A. (www.borsaitaliana.it) la seguente documentazione:

• l'Avviso di convocazione dell'Assemblea Straordinaria degli Azionisti del 25 settembre 2025 ed il relativo estratto che sarà pubblicato sul quotidiano "Il Sole 24 Ore", edizione del 25 luglio 2025;
• il progetto comune di fusione transfrontaliera con i relativi allegati, inclusi il nuovo testo di statuto della società risultante dalla fusione;
• la Relazione Illustrativa del Consiglio di Amministrazione di Saipem S.p.A. sull'unico punto all'ordine del giorno dell'Assemblea redatta ai sensi della normativa applicabile e il bilancio intermedio al 30 giugno 2025 della Società.

Saipem: Publication of the documentation related to the Extraordinary Shareholders' Meeting

Milan, 24 July 2025 – Saipem S.p.A. ("Company") informs that the following documentation is available at the Company's registered office, on the Company's website (www.saipem.com | Section "Governance" – "Shareholders' Meeting"), at the authorized "eMarket STORAGE" system () and on the website of Borsa Italiana S.p.A. (www.borsaitaliana.it):

• the Notice of the Extraordinary Shareholders' Meeting to be held on 25 September 2025, and the related abstract, which will be published in the newspaper "Il Sole 24 Ore" on 25 July 2025;
• the common cross border merger plan with annexes, including the new text of the Articles of Association of the company resulting from the merger;
• the Reports prepared by the Board of Directors on the sole item on the Agenda of the Shareholders' Meeting in accordance with applicable law and the interim financial statements of the Company as of 30 June 2025.
