Report Content Zarząd VARSAV Game Studios S.A. ("Spółka", "Emitent") informuje, iż w dniu 21 lipca 2025 roku zawarł umowę udziału w przychodach z gry BARKOUR ("Umowa", "Gra") ze spółką Starnet SRL z siedzibą w Republice Mołdawii, powiązaną z Panem Alexandru Machedon ("Inwestor").  

Na mocy Umowy:  

1\. Inwestor zobowiązał się do dokonania inwestycji w wysokości 500.000 EUR w trzech transzach. Środki te zostaną przeznaczone na dalszą produkcję, testowanie, marketing i komercjalizację Gry. Emitent w ramach umowy zachowuje pełnię praw własności intelektualnej do Gry.  

2\. Inwestorowi przysługuje udział w przychodach netto ze sprzedaży Gry przez okres 5 lat od daty premiery, według następującej progresywnej skali:  

\- do 1.000.000 EUR przychodu netto ze sprzedaży - 50% dla Inwestora,  

\- od 1.000.000 do 3.525.025 EUR - 20,3% dla Inwestora,  

\- powyżej 3.525.025 EUR - 10% dla Inwestora.  

3\. Inwestorowi przysługuje gwarantowany minimalny zwrot (Minimum Guarantee) w wysokości 881.171 EUR, odpowiadający inwestycji powiększonej o roczny zwrot 12% w skali 5 lat.  

4\. W przypadku braku realizacji warunków Umowy (np. opóźnienie premiery, niewypłacenie należnych kwot), inwestycja automatycznie przekształca się w pożyczkę zabezpieczoną zastawem rejestrowym na 4.000.000 akcji Emitenta, należących do spółki VARSAV S.A.  

5\. Umowa przewiduje opcję wcześniejszego wykupu praw Inwestora do udziału w przychodach do momentu premiery Gry, poprzez jednorazową płatność w wysokości kwoty 1.000.000 EUR. W takim przypadku wszelkie prawa Inwestora wygasają, a zastaw na akcjach zostaje zwolniony.  

6\. Zgodnie z zapisami w umowie, Zarząd zadeklarował premierę wersji PC Gry na czwarty kwartał 2025 roku, wersje na konsole zaplanowane zostały na 2026 rok.  

Zarząd Emitenta ocenia zawarcie przedmiotowej Umowy jako strategiczny krok, który w pełni zabezpiecza finansowanie końcowej fazy produkcji oraz kampanii wydawniczej gry "BARKOUR". Transakcja została zawarta na warunkach znacząco bardziej korzystnych dla Emitenta niż propozycje otrzymywane od potencjalnych wydawców - przy jednoczesnym zachowaniu pełnych praw własności intelektualnej oraz pełnej kontroli nad procesem produkcji i komercjalizacji gry.  

Zarząd Emitenta zdecydował o publikacji powyższej informacji z uwagi na fakt, iż może mieć ona istotny wpływ na kształtowanie się sytuacji finansowej i majątkowej Emitenta oraz potencjalnie istotny wpływ na wycenę instrumentów finansowych Spółki.  

Informacje o Inwestorze:  

Inwestorem w ramach umowy poprzez spółkę Starnet SRL jest Alexandru Machedon - przedsiębiorca i inwestor posiadający obywatelstwo Mołdawii i Rumunii, od lat aktywny w sektorze telekomunikacyjnym, technologicznym i inwestycyjnym. Jest założycielem i właścicielem grupy StarNet, największego niezależnego operatora światłowodowego w Mołdawii, a także twórcą Digital Park - największego prywatnego hubu technologicznego w kraju.  

StarNet jest największym, niezależnym operatora światłowodowego i dostawcy usług internetowych w Mołdawii. Firma została założona w 2003 roku i obsługuje setki tysięcy klientów indywidualnych oraz korporacyjnych. StarNet zbudował największą w kraju infrastrukturę światłowodową (ponad 12 000 km sieci). StarNet jest również pionierem cyfryzacji usług w Mołdawii - jako jeden z pierwszych wprowadził usługi IPTV, telefonię VoIP, nowoczesne centra danych oraz rozwiązania chmurowe.  

Digital Park, zlokalizowany w centrum Kiszyniowa, to nowoczesny kompleks biurowo-technologiczny, który gromadzi dziesiątki firm z branży IT, gier wideo, fintech i startupów technologicznych. Stanowi on serce mołdawskiego ekosystemu innowacji i jest kluczowym centrum rozwoju nowych technologii w regionie. Miejsce to pełni również funkcję inkubatora dla młodych przedsiębiorców i przestrzeni networkingowej dla międzynarodowych inwestorów. Alexandru Machedon inwestuje również w sektor odnawialnych źródeł energii, cyfrowych mediów oraz przedsięwzięcia z obszaru sztucznej inteligencji. W ostatnich latach poszerzył działalność inwestycyjną o rynek gier wideo, wspierając projekty o wysokim potencjale kreatywnym i komercyjnym.

ENGLISH VERSION  

The Management Board of VARSAV Game Studios S.A. (the "Company", the "Issuer") hereby announces that on July 21, 2025, it entered into a revenue participation agreement for the game BARKOUR (the "Agreement", the "Game") with Starnet SRL, a company based in the Republic of Moldova and affiliated with Mr. Alexandru Machedon (the "Investor").  

Under the Agreement:  

1\. The Investor has committed to invest EUR 500,000 in three tranches. These funds will be allocated to the continued development, testing, marketing, and commercialization of the Game. The Issuer retains full intellectual property rights to the Game.  

2\. The Investor is entitled to receive a share in the Game's net revenue for a period of five years from its release date, according to the following progressive scale:  

\- up to EUR 1,000,000 in net revenue - 50% to the Investor;  

\- from EUR 1,000,000 to EUR 3,525,025 - 20.3% to the Investor;  

\- above EUR 3,525,025 - 10% to the Investor.  

3\. The Investor is entitled to a guaranteed minimum return (Minimum Guarantee) of EUR 881,171, corresponding to the invested amount plus a 12% annual return over five years.  

4\. In the event of non-compliance with the terms of the Agreement (e.g., delayed release, failure to pay amounts due), the investment will automatically convert into a loan secured by a registered pledge over 4,000,000 shares of the Issuer held by VARSAV S.A.  

5\. The Agreement includes an early buy-out option, under which the Issuer may terminate the Investor's revenue participation rights before the Game's release by making a one-time payment of EUR 1,000,000. In such case, all Investor rights expire and the pledge is released.  

6\. In accordance with the Agreement, the Management Board has declared the PC version of the Game is planned for release in Q4 2025, with console versions scheduled for 2026.  

The Issuer's Management Board considers the execution of this Agreement a strategic step that fully secures the financing of the final stage of production and the launch campaign of BARKOUR. The transaction was concluded on terms significantly more favorable to the Issuer than those proposed by potential publisherswhile preserving full intellectual property rights and complete control over the production and commercialization of the Game.  

The Management Board has decided to publish this information due to its potentially significant impact on the Issuer's financial and asset position and its relevance to the valuation of the Company's financial instruments.  

Information about the Investor:  

The Investor under the Agreement is Alexandru Machedon, acting through his company Starnet SRL. Mr. Machedon is a Moldovan and Romanian entrepreneur and investor with long-standing involvement in the telecommunications, technology, and venture capital sectors. He is the founder and owner of StarNet Group - the largest independent fiber-optic operator in Moldova -and the creator of Digital Park, the country's largest private technology hub.  

StarNet, established in 2003, is the leading independent internet service provider in Moldova, serving hundreds of thousands of individual and corporate clients. The company has built the country's largest fiber-optic infrastructure (over 12,000 km of network) and was one of the first in Moldova to introduce IPTV, VoIP telephony, modern data centers, and cloud services.  

Digital Park, located in the center of Chiinău, is a modern office and technology complex that brings together dozens of companies from the IT, video game, fintech, and tech startup sectors. It serves as the heart of Moldova's innovation ecosystem and a key hub for technological development in the region. The site also acts as an incubator for young entrepreneurs and a networking platform for international investors.  

Alexandru Machedon is also active in renewable energy, digital media, and artificial intelligence ventures. In recent years, he has expanded into the video game industry, supporting projects with high creative and commercial potential.
