## **L'OFFERTA DI MARE NON È CONCORDATA, È PRIVA DI RAZIONALE INDU-STRIALE E NON È CONVENIENTE PER GLI AZIONISTI DI ELES**

#### **IL CORRISPETTIVO OFFERTO NON È CONGRUO DA UN PUNTO DI VISTA FINANZIARIO**

*Todi (PG), 18 luglio 2025* – Il Consiglio di Amministrazione di Eles S.p.A. ("**Eles**", "**Emittente**" o "**Società**"), riunitosi in data odierna, ha esaminato i termini e le condizioni dell'offerta pubblica di acquisto e di scambio volontaria e parziale promossa da Mare Engineering Group S.p.A. ("**Mare**" o l'"**Offerente**") su azioni ordinarie e a voto plurimo rappresentative del 29,99% dei diritti di voto (l'"**Offerta**") di Eles e ha approvato, all'unanimità dei presenti, un comunicato contenente dati utili per l'apprezzamento dell'Offerta e la propria valutazione sulla medesima e sulla congruità del corrispettivo (il "**Comunicato dell'Emittente**").

Ai fini delle proprie analisi, il Consiglio di Amministrazione ha tenuto conto della *fairness opinion* rilasciata in data odierna da Cross Court Capital S.r.l., in qualità di *advisor* finanziario all'uopo nominato dal Consiglio di Amministrazione. L'*advisor* finanziario ha ritenuto il corrispettivo offerto non congruo da un punto di vista finanziario.

Il Consiglio di Amministrazione, a seguito di un'attenta valutazione dei termini e delle condizioni descritti nel documento di offerta pubblicato da Mare in data 4 luglio 2025 (il "**Documento di Offerta**") e delle altre informazioni disponibili, tenuto conto altresì dei rischi e delle incertezze evidenziati nella predetta documentazione, ritiene che l'Offerta, non concordata con l'Emittente, non sia conveniente per gli azionisti di Eles e non sia nel migliore interesse dell'Emittente e di tutti i suoi *stakeholders* per i seguenti concorrenti motivi:

- 1. L'**Offerta è priva di razionale** ed è diretta a perseguire finalità e obiettivi propri dell'Offerente, **senza alcuna reale prospettiva di aggregazione industriale** fondata sulla condivisione di valori e indirizzi strategici, pertanto, non risulta idonea a creare valore per Eles, i suoi Azionisti e i suoi *stakeholders*.
- 2. L'**Offerta**, volta a consentire ad un soggetto industriale di acquisire una partecipazione qualificata, ma non di controllo, in Eles, in un contesto privo di coordinamento e di condivisione di un solido razionale, può **compromettere, per un interesse proprio di Mare, il perseguimento dei piani di crescita e sviluppo di Eles**

mediante possibili integrazioni con altri *player* fondate su solidi e condivisi razionali industriali e sinergie prospettiche.

- 3. **Le caratteristiche industriali dell'Offerente**, congiuntamente all'assenza di esperienza dell'Offerente nello specifico settore in cui opera Eles e alla struttura finanziaria dell'Offerente, **non consentono di realizzare nessuna delle linee d'azione prospettate dall'Offerente, in assenza di un piano industriale e strategico condiviso.**
- 4. **Il corrispettivo offerto non è congruo da un punto di vista finanziario e non rappresenta adeguatamente il valore intrinseco di Eles**, come evidenziato nella *fairness opinion*, anche tenuto conto dei dati previsionali e delle sue prospettive industriali; peraltro, la componente in natura prevista nel corrispettivo misto è inscindibilmente legata alla futura *performance* di Mare Group, esponendo gli eventuali aderenti all'Offerta a significativi elementi di incertezza in ordine all'effettivo raggiungimento degli obiettivi industriali di Mare Group, anche alla luce dell'attuale situazione economica e patrimoniale di quest'ultima, nonché di tutti i rischi connessi ad un investimento nella medesima, come peraltro evidenziato dallo stesso Offerente nel Documento di Offerta.
- 5. L'**Offerta, parziale e non concordata, non garantisce agli azionisti la possibilità di disinvestire totalmente la propria partecipazione** (neppure a coloro che scegliessero il corrispettivo interamente in denaro), poiché l'Offerta è volta ad acquisire un numero limitato di azioni, **con la conseguenza che, in caso di adesioni superiori al limitato numero di azioni oggetto di Offerta non tutte le azioni portate in adesione saranno acquistate dall'Offerente e troverà applicazione il metodo del riparto "***pro-rata***". In tale scenario, graverebbe anche sugli azionisti di Eles che avessero deciso di non aderire all'Offerta il rischio connesso ad un'operazione industriale non concordata, forzata, rischiosa e carente di razionali industriali verificati e di linee di indirizzo e strategiche condivise**
- 6. L'**Offerta espone Eles al rischio di avere un'importante quota del capitale sociale in capo a pochi soggetti che potrebbero non condividere le stesse visioni strategiche su Eles**, con possibili ripercussioni sulla *governance* della Società.

Eles S.p.A. (Eles), nata nel 1988, progetta e realizza soluzioni di test per semiconduttori (SOC, MEMS e Memorie). Eles produce macchine universali (cd. test system) e i relativi servizi di assistenza per i test di affidabilità, avendo sviluppato un processo di co-engineering con i propri clienti finalizzato a garantire un prodotto microelettronico cd. "ZERO DIFETTI". Inoltre, la Società è attiva nel settore c.d. di test application fornendo ai propri clienti le applicazioni necessarie per procedere alle varie soluzioni di test che possono essere eseguite attraverso le macchine dalla stessa prodotte, oltre ad una serie di servizi connessi all'elaborazione dei dati acquisiti durante le attività e fasi di test. Eles annovera tra i propri clienti aziende multinazionali produttrici di semiconduttori e produttori di moduli elettronici per il settore automotive ed il Settore I&D. La strategia di Eles prevede, oltre ad una crescita per linee interne tramite la penetrazione in nuovi mercati, l'ulteriore diversificazione della clientela e il miglioramento delle soluzioni già offerte ai clienti, una crescita per linee esterne mediante acquisizioni funzionali ad un più veloce sviluppo commerciale nei Paesi esteri.

**Todi (PG), July 18, 2025** – The Board of Directors of Eles S.p.A. ("**Eles**", "**Issuer**" or "**Company**"), which met today, examined the terms and conditions of the voluntary and partial public purchase and exchange offer launched by Mare Engineering Group S.p.A. ("**Mare**" or the "**Offeror**") on ordinary and multiple-voting shares representing 29.99% of the voting rights (the "**Offe**r") of Eles and unanimously approved a press release containing information useful for the assessment of the Offer and its own evaluation of the same and the fairness of the consideration (the "**Issuer's Press Release**").

For the purposes of its analysis, the Board of Directors took into account the *fairness opinion* issued today by Cross Court Capital S.r.l., acting as financial advisor appointed for this purpose by the Board of Directors. The financial advisor considered the consideration offered to be financially incongruous.

The Board of Directors, following a careful assessment of the terms and conditions described in the offer document published by Mare on 4 July 2025 (the "**Offer Document"**) and other available information, also taking into account the risks and uncertainties highlighted in the aforementioned documentation, believes that the Offer, not agreed with the Issuer, is not advantageous for Eles shareholders and is not in the best interests of the Issuer and all its stakeholders for the following competing reasons:

- 1. **The Offer lacks rationale** and is aimed at pursuing the Offeror's own goals and objectives, **without any real prospect of industrial aggregation** based on shared values and strategic directions. Therefore, it is not suitable for creating value for Eles, its Shareholders and its stakeholders.
- 2. The **Offer**, aimed at allowing an industrial entity to acquire a qualifying but not controlling stake in Eles, in a context lacking coordination and a solid rationale, **may compromise, in Mare's own interest, the pursuit of Eles' growth and development plans** through possible integrations with other players based on solid and shared industrial rationales and prospective synergies.

- 3. **The industrial characteristics of the Offeror**, together with the Offeror's lack of experience in the specific sector in which Eles operates and the Offeror's financial structure, **do not allow for the implementation of any of the lines of action proposed by the Offeror, in the absence of a shared industrial and strategic plan.**
- 4. **The consideration offered is not appropriate from a financial point of view and does not adequately represent the intrinsic value of Eles,** as highlighted in the fairness opinion, even taking into account the forecast data and its industrial prospects; moreover, the component in kind provided for in the mixed consideration is inextricably to the future performance of Mare Group, exposing any participants in the Offer to significant elements of uncertainty regarding the actual achievement of Mare Group's industrial objectives, also in light of the latter's current economic and financial situation, as well as all the risks associated with an investment in it, as highlighted by the Offeror itself in the Offer Document.
- 5. **The Offer, which is partial and not agreed upon, does not guarantee shareholders the possibility of completely divesting their participation** (not even for those who choose to receive the consideration entirely in cash), as the Offer is aimed at acquiring a limited number of shares, **with the consequence that, in the event of acceptances exceeding the limited number of shares covered by the Offer, not all shares tendered will be purchased by the Offeror and the "pro-rata" allocation method will apply. In this scenario, Eles shareholders who have decided not to accept the Offer would also bear the risk associated with an industrial transaction that is unagreed, forced, risky and lacking in verified industrial rationale and shared guidelines and strategies**
- 6. **The Offer exposes Eles to the risk of having a significant portion of its share capital held by a few parties who may not share the same strategic vision for Eles**, with possible repercussions on the Company's governance.
