THE ACQUISITION OF A NEW COMPANY HAS STARTED, COMBINING THE OPERATIONAL BRANCHES OF DIKE FORMAZIONE GIURIDICA AND ACCADEMIA JURIS

GROWTH BY EXTERNAL LINES CONTINUES

Milan, 18 July 2025 – Simone S.p.A. ("Simone" or the "Company"), a company operating in the publishing sector listed on Euronext Growth Milan, announces the incorporation today, by the companies Dike Formazione Giuridica S.r.l. ("Dike Formazione Giuridica") and Accademia Juris Diritto per Concorsi S.r.l. Unipersonale ("Accademia Juris") - active for over fifteen years in the training sector in the high-end legal field, of a limited liability company called "Dike Formazione", into which the business branches operating in the training sector were merged and with reference to which Simone signed, on 10 July 2025, a preliminary agreement for the purchase of 100% of the share capital (the "Preliminary Agreement").

The closing of the transaction is expected by the end of July, upon the occurrence of certain conditions precedent set forth in the Preliminary Agreement.

Thanks to this extraordinary finance transaction, Simone enters the specialised legal training sector.

The two business units merged into Dike Formazione S.r.l. ("Dike Formazione") developed in 2024 a consolidated turnover of about EUR 1 million and an average Ebitda Adj in the last two years of about EUR 333,000.

The consideration for the transaction amounts to a total of approximately 7 times the above average adj Ebitda and will be paid to the selling companies in tranches following the closing.

The Preliminary Agreement also provides, inter alia:

• a series of representations and warranties, with consequent indemnification obligations;
• that, upon closing, the shareholders' meeting of Dike Formazione, inter alia, appoint a management body in the composition indicated by Simone;
• certain non-compete obligations on the part of Dike Formazione Giuridica and Accademia Juris for a period of five years from the closing of the transaction, covering the territory of the European Union and the United Kingdom.

The operation marks a fundamental step in Simone's growth path, as it allows the company to enter the sector of specialised high-level legal training. The Simone Publishing Group, already widely recognised as a leader in manuals for passing public competitions and in specialised legal publishing, thus expands its offer, providing users not only with study tools (books and digital products) but also study paths, workshops, seminars and didactic laboratories in the legal and forensic fields. The brand recognition of Dike Formazione Giuridica and Accademia Juris will favour the development of the new company, which aims to become a point of reference in the field of specialised training. This operation also represents the completion of the strategy launched by the company in 2022 with the acquisition of the publishing division of Dike Formazione Giuridica. Bringing together under the same group the publishing branch and the branch related to training will give further impulse to the growth of the Company's brand, also counting on the relationships developed in three years of collaboration.

Simone S.p.A. was assisted in the transaction by EMINTAD ITALY S.r.l. as Financial Advisor and by GRIMALDI ALLIANCE as legal advisor, while RSM Società di Revisione e Organizzazione Contabile S.p.A. performed the financial and tax due diligence activities. RSM participated as Financial Due Diligence Advisor with the team coordinated by Nicola Tufo (Equity Partner) and Fabiano Guarino (Senior Manager) and as Tax Due Diligence Advisor with the team coordinated by Francesco Sperti (Equity Partner) and Simone Evangelista (Manager).
