## Extraordinary Announcement of 4iG PLC

on the decision of the Hungarian Competition Authority regarding the transaction aimed at acquiring 100% ownership of PR-Telecom Zrt.

4iG Plc. ("4iG") hereby informs the participants of the capital market that in the merger clearance procedure initiated based on the notification of its subsidiary, 4iG Telecommunication Holding Private Company Limited by Shares (registered seat: 1013 Budapest, Krisztina körút 39.; registration number: 01-10-042190; tax number: 10834730-2-44; "4iG Telco Holding") regarding the share purchase agreement concluded by 4iG Telco Holding on 4 July 2024, for the acquisition of 100% of shares in the regional telecommunications service provider PR-Telecom Zrt. (registered office: 3527 Miskolc, József Attila utca 45.; company registration number: 05-10- 000347; tax number: 11951216-2-05) ("Transaction"), the Hungarian Competition Authority ("HCA"), in its decision received by 4iG Telco Holding on 15 July 2025, reference number VJ/36- 176/2024, set out the commitments undertaken by 4iG Telco Holding, by means of which the decrease of competition resulting from the merger under the Transaction can be eliminated.

In its decision, the HCA determined that the competition concerns arising from the Transaction can be eliminated on the affected markets, provided that the rules of conduct undertaken by the companies concerned are complied with. Accordingly, based on the consultations with the HCA, 4iG Telco Holding has undertaken behavioral commitments among others for a 5-year period following receipt of the final decision, relating to pricing, campaign restrictions, and the monitoring thereof. 4iG Telco Holding has also undertaken to make these commitments mandatory for all its subsidiaries providing retail telecommunications services.

The decision of the HCA became final upon notification. The Transaction may be closed in August 2025, following the fulfilment of further closing conditions.
