PERFEZIONATA IN DATA ODIERNA L'OPERAZIONE RODA

Facendo seguito ai comunicati diffusi in data 2 aprile (successivamente integrato in data 4 aprile) e 25 giugno 2025, Dexelance S.p.A. (DEX.MI), gruppo industriale diversificato, tra i leader italiani nel design, luce e arredamento di alta gamma ("Dexelance"), rende noto che in data odierna è stata perfezionata l'acquisizione di una quota pari al 25,0% nel capitale di Roda S.r.l. ("Roda").

Il controvalore dell'operazione è stato di Euro 8,5 milioni, finanziati da Dexelance tramite ricorso ad indebitamento finanziario per circa Euro 6 milioni e, per la restante parte, con mezzi propri. Si ricorda che Euro 4,5 milioni sono stati destinati ad acquisto di quote detenute dai soci Roda ed Euro 4 milioni sono stati utilizzati per la sottoscrizione di un aumento di capitale.

Si ricorda inoltre che, come descritto nel comunicato stampa diffuso in data 25 giugno 2025, l'accordo prevede reciproche azioni di acquisto e vendita il cui esercizio consentirà a Dexelance di raggiungere il 60,0% del capitale di Roda nel corso dell'esercizio 2028.

RODA TRANSACTION FINALIZED TODAY

Following up on the press releases issued on 2 April (subsequently supplemented on 4 April) and 25 June 2025, Dexelance S.p.A. (DEX.MI), a diversified industrial group and one of Italy's leading players in design, lighting and high-end furniture ("Dexelance"), announces that it has completed today the acquisition of a 25.0% stake in the share capital of Roda S.r.l. ("Roda").

The consideration of the transaction amounts to EUR 8.5 million, financed by Dexelance through financial debt for approximately EUR 6 million and, for the remaining portion, with its own means. It is noted that EUR 4.5 million were allocated to the purchase of shares held by Roda shareholders, while EUR 4 million were used for the subscription of a capital increase.

As outlined in the press release issued on 25 June 2025, the agreement includes reciprocal buy and sell options that will allow Dexelance to increase its stake to 60.0% of Roda's share capital during the 2028 fiscal year.
