SIMONE S.p.A. FINALIZES THE ACQUISITION OF 51% OF TOPIPITTORI S.r.l.

With the entry of Topipittori S.r.l. into the Simone Group the growth project in the children's publishing sector takes place

Milan, 17 July 2025 – Simone S.p.A. ("Simone" or the "Company"), a company operating in the publishing sector, listed on Euronext Growth Milan, in execution of the preliminary agreement referred to in the previous press release of 4 June 2025, following, inter alia, the successful conclusion of the necessary due diligence activities, hereby announces that it has today acquired 51% of the share capital (the "Shareholding") of Topipittori S.r.l., a publishing house specialising in illustrated books for children and teenagers ("Topipittori"), set up on 27 June 2025 via the spin-off of Calamus S.A.S. di Paolo Canton e C. ("Calamus"), into which the activities relating to the "Topipittori" brand, previously owned by Calamus itself, have been incorporated.

"Simone's growth by external lines continues, through extraordinary finance operations aimed at strategic companies for the Group," said Simone S.p.A. Chairman and CEO Luca Misso. "The acquisition of Topipittori is part of a European expansion project in the children's publishing sector, which will be favoured by the recognition of this brand on foreign markets. We are already looking for other publishing firms with great potential but with small dimensions, with the aim of creating an ecosystem of companies with high added value in which to share resources and face the challenges of the market together."

Today, Topipittori's total shareholders' meeting, after acknowledging Paolo Canton's resignation as sole director, appointed a three-member board of directors. Paolo Canton will remain a member of the Board of Directors as Chairman.

The call option agreement mentioned in the press release of 4 June 2025 was also signed today.

Simone S.p.A. was assisted in the transaction by EMINTAD ITALY S.r.l. as Financial Advisor and by GRIMALDI ALLIANCE as legal advisor, while RSM Società di Revisione e Organizzazione Contabile S.p.A. performed the financial and tax due diligence activities. RSM participated as Financial Due Diligence Advisor with the team coordinated by Nicola Tufo (Equity Partner) and Fabiano Guarino (Senior Manager) and as Tax Due Diligence Advisor with the team coordinated by Francesco Sperti (Equity Partner) and Simone Evangelista (Manager).
