Şirketimiz ile GEM Global Yield Fund LLC SCS ve GEM Investments America, LLC ile Şirketimiz ortakları Merko Holding A.Ş. ile Aetna SA arasında imzalanmış olan 26.1.2018 tarihli Sermaye İştirak Taahhüdü ve Pay Ödünç Sözleşmesi ( Subscription Commitment and Share Lending Agreement ) çerçevesinde, Şirketimiz ortaklarından Merko Holding A.Ş. tarafından 2.579.250 adet Şirketimiz payı ve yine Şirketimiz ortaklarından Aetna SA tarafından 2.850.750 adet Şirketimiz payı GEM Global Yield Fund LLC SCS hesabına devredilmiştir.

Devre konu söz konusu paylar, Şirketimizce yapılması düşünülen iştirak davetine istinaden, GEM Global Yield Fund LLC SCS tarafından Şirketimize ödenebilecek olan sermaye iştirak avansına karşılık teminat niteliğini haiz olup, sermaye artırımının tamamlanarak, artırıma konu payların GEM Global Yield Fund LLC SCS'e teslimi ile bu paylar yeniden adı geçen ortakların hesabına iade edilecektir.

Bu süreç dahilinde ortaya çıkacak, Şirket hisselerinin değerini ve/veya yatırımcıların kararını etkileyebilecek nitelikteki hususlar ve işlemlere ilişkin gelişmeler derhal kamuya açıklanacaktır.

Tasarruf sahiplerimizin ve kamuoyunun bilgisine sunulur.

Within the scope of the Subscription Commitment and Share Lending Agreement dated 26.1.2018, signed by and between our Company and GEM Global Yield Fund LLC SCS and GEM Investments America, LLC and shareholders of our Company MERKO Holding A.Ş. and Aetna SA, 2.579.250 of our Company's shares were transferred by the shareholder of our Company MERKO Holding A.Ş. and 2.850.750 of our Company's shares were transferred by the shareholder of our Company Aetna SA to the account of GEM Global Yield Fund LLC SCS.

The aforementioned shares subject to the transfer, bear the qualification of serving as the guarantee of the share subscription advance which may be paid by GEM Global Yield Fund LLC SCS to our Company as per the share subscription notice that is planned to be executed by our Company, and these shares will be returned to the accounts of the shareholders stated above, following the completion of the share capital increase and delivery of the shares subject to the increase to GEM Global Yield Fund LLC SCS.

Developments to be occurred within this time period, which may affect the value of the Company shares and/or investment decision of the investors, shall be duly disclosed to public.
