Şirketimiz ile GEM Global Yield Fund LLC SCS ve GEM Investments America, LLC ile Şirketimiz ortakları MERKO Holding A.Ş. ile Aetna SA arasında imzalanmış olan 26.1.2018 tarihli Sermaye İştirak Taahhüdü ve Pay Ödünç Sözleşmesi ( Subscription Commitment and Share Lending Agreement ) çerçevesinde, 16.02.2018 tarihinde GEM Global Yield Fund LLC SCS'e yapılan sermaye iştirak davetimizde, payların nominal değerinin altında olmaması kaydıyla, çağrımızı takip eden 15 işlem günü içerisinde Şirketimiz paylarının gün sonu ortalama fiyatının ortalaması alınarak belirlenecek fiyat üzerinden 5.430.000 adet Şirketimiz payına iştirak etmesi talep edilmiştir.

Kendisine davet gönderilmiş olan GEM Global Yield Fund LLC SCS, çağrımızı takip eden 15'inci günü takip eden iş günü itibariyle, çağrıya konu olan pay adedinin yarısından az olmamak kaydıyla, iştirak edeceği pay miktarını tarafımıza bildirerek, fiyatlama döneminde oluşan fiyat üzerinden bu paylara karşılık gelen sermaye iştirak tutarını Şirketimize sermaye avansı olarak yatırmakla yükümlüdür.

Bu süreç dahilinde ortaya çıkacak, Şirket hisselerinin değerini ve/veya yatırımcıların kararını etkileyebilecek nitelikteki hususlar ve işlemlere ilişkin gelişmeler derhal kamuya açıklanacaktır.

Within the scope of the Subscription Commitment and Share Lending Agreement dated 26.1.2018, signed by and between our Company and GEM Global Yield Fund LLC SCS and GEM Investments America, LLC and shareholders of our Company MERKO Holding A.Ş. and Aetna SA; GEM Global Yield Fund LLC SCS was requested with our subscription notice on

16.02.2018, to subscribe to 5.430.000 shares of our Company on the price to be calculated with the average of the ISE Closing Average Price of our Company's shares in the last 15 trade days, provided that the price shall not be below nominal value of the respective shares.

GEM Global Yield Fund LLC SCS who has been notified, is obliged to notify our party on the number of shares to be subscribed provided that it is not less than half of the number of shares subject to the notice and obliged to deposit the subscription amount corresponding to these shares to our Company as capital advance on the price occurred during the pricing period, as of the 15th business day following our notice.

Developments to be occurred within this time period, which may affect the value of the Company shares and/or investment decision of the investors, shall be duly disclosed to public.
