AUTHORIZATION GRANTED BY THE COMPETENT AUTHORITIES FOR THE ACQUISITION BY ELICA OF 100% OF THE SHARE CAPITAL OF THE CHINESE SUBSIDIARY

Fabriano, July 15, 2025 – Following the press release issued on July 1, 2025 regarding: (i) the transforma?on of Elica Home Appliances (Zhejiang) Co., LTD ("Pu>an"), Chinese subsidiary of Elica S.p.A. ("the Company"), into a strategic hub, and (ii) the acquisi?on by the Company of the remaining shareholding in Pu?an, equal to 0.56% of its share capital, from FUJI Industrial Co., LTD ("Fuji"), Elica announces that, on July 14, 2025, the necessary authoriza?ons have been obtained from the competent Chinese Authori?es and the administra?ve formali?es required for the share acquisi?on have been completed.

As the condi?ons previously established in the agreements governing the aforemen?oned acquisi?on have therefore been fulfilled, Elica now holds 100% of Pu?an. The competent Authori?es are proceeding to issue the new cer?ficate of capital contribu?on en?rely aWributed to the Company, and Elica will proceed, by the end of the current month and in accordance with contractual provisions, with the payment of the first installment of the considera?on to Fuji.
