The Reason For Applying A Lower Dividend Withholding Rate Than The Current Rate In Calculating Net Amount	All of the previous years' taxable earnings of İsdemir, which is included in Erdemir's profit to be distributed, are subject to 19.8% income tax withholding in accordance with the Income Tax Law provisional Article 61. In the distribution of these earnings by Erdemir to the shareholders, there is no tax deduction related to profit distribution pursuant to provisional Article 62 of the Income Tax Law.

Additional Explanations

According to the decision of Company's Board of Directors, dated 5 March 2020, numbered 9682 and 9683; it was resolved to propose the profit distribution for the year 2019 as in the attached tables which will be as lump sum and the to be determined of the profit distribution date as 24 April 2020. It is decided that these matters to be submitted to the General Assembly's approval at Our Company's Ordinary General Assembly Meeting to be held on 31 March 2020.

In contradiction between the Turkish and English versions of this public disclosure, the Turkish version shall prevail.
