The Reason For Applying A Lower Dividend Withholding Rate Than The Current Rate In Calculating Net Amount	All of the previous years' taxable earnings of İsdemir, which is included in Erdemir's profit to be distributed, are subject to 19.8% income tax withholding in accordance with the Income Tax Law provisional Article 61. In the distribution of these earnings by Erdemir to the shareholders, there is no tax deduction related to profit distribution pursuant to provisional Article 62 of the Income Tax Law.

Additional Explanations

According to the decision of Company's Board of Directors, dated 11 February 2021, numbered 9750; it was resolved to propose the profit distribution for the year 2020 as in the attached tables which will be as lump sum and the profit distribution in March 2021. It is decided that these matters to be submitted to the General Assembly's approval at Our Company's Ordinary General Assembly Meeting which is planed to be held in March 2021.

In contradiction between the Turkish and English versions of this public disclosure, the Turkish version shall prevail.
