Additional Explanations

Goodyear Lastikleri T.A.Ş. Yönetim Kurulu, 10.03.2021 tarihli kararıyla;

2020 yılı faaliyetleri sonucunda Sermaye Piyasası Kurulu düzenlemelerine göre oluşan 151.247.313 TL net dönem karından;

a) 6102 sayılı Türk Ticaret Kanunu'nun ("TTK") 519/1 maddesinde öngörülen yasal kayıtlarda yer alan net dönem karının %5'i olan 24.344.452,60 TL'nin genel kanuni yedek akçe olarak ayrılmasının,

b) SPK'nın kar dağıtımına ilişkin düzenlemelerine uygun olarak yıl içinde yapılan bağışların dönem karına ilave edilerek ulaşılmış bulunan toplam 144.597.605,85 TL dağıtılabilir net dönem karından,

i. Kar dağıtım politikasında belirlenen oranlar da dikkate alınarak %25 oranında ve 36.150.507,26 TL tutarında birinci kar payı olarak ortaklara dağıtılmasının,

ii. TTK'nın 519/2 hükmü uyarınca %10 oranında 2.059.137,02 TL genel kanuni yedek akçe ayrılmasının,

iii. 2019 geçmiş yıl karından %25 oranında ve 67.340.564,75 TL tutarında kar payının ortaklara dağıtılmasının,

c) 103.491.072,01 TL brüt temettü üzerinden 1 lot=1 TL nominal değerli paya 0,3833002 TL brüt kar payının vergi düzenlemelerine uygun olarak vergi stopajı yapılmasını takiben en geç 31 Mayıs 2021 tarihine kadar nakden dağıtılmasının,

Genel Kurul'a önerilmesine karar verilmiştir.

103.491.072,01 TL brüt temettü üzerinden 1 lot=1 TL nominal değerli paya 0,3833002 TL brüt kar payı üzerinden, vergi düzenlemelerine uygun olarak temettü stopajı uygulanacaktır. Gerçek kişi tam mükellef pay sahiplerimize dağıtılan kar payı üzerinden %15 oranında stopaj uygulanmakta olup, bu stopaj oranı esas alınarak tespit edilen net tutar gösterilmiştir.
