Additional Explanations

Our company's registered capital ceiling, which is TL 500,000,000 and valid for 5 years between 2018-2022, will be expired at the end of 2022. Thus, Migros Board of Directors resolved;

• to determine the registered capital ceiling TL 500,000,000 and to extend the validity period of the registered capital ceiling for 5 years (between 2022-2026),
• to approve the attached amendment text regarding the Article 7 titled "Share Capital" of our Article of Association in line with the relevant legislation,
• to apply Capital Markets Board ("CMB") and Ministry of Commerce ("Ministry") for obtaining permissions related to the amendment text,
• to submit the amendment text to the approval of our shareholders at the first General Assembly meeting of our Company, following the required permissions to be obtained from CMB and Ministry.
